Common use of Indemnification - General Clause in Contracts

Indemnification - General. The Company shall indemnify and advance Expenses to the Indemnitee as provided in this Agreement and to the fullest extent permitted by applicable law in effect on the date hereof and to such greater extent as applicable law may thereafter from time to time permit. However, no indemnification shall be made by the Company (except as ordered by a court) unless a determination has been made in the manner provided for in Section 145(d) of the DGCL and Section 9(b) herein that the Indemnitee has met the applicable Standard. The rights of the Indemnitee provided under the preceding sentence shall include, but shall not be limited to, the rights set forth in the other sections of this Agreement.

However(but in the case of any such amendment, no indemnification shall be made by only to the extent that such amendment permits the Company (except as ordered by a court) unless a determination has been made in to provide broader indemnification rights than such law permitted the manner provided for in Section 145(d) of the DGCL and Section 9(b) herein that the Indemnitee has met the applicable StandardCompany to provide prior to such amendment). The rights of the Indemnitee provided under the preceding sentence shall include, but shall not be limited to, the rights set forth in the other sections Sections of this Agreement.

Indemnification - General. The Company Subject to the provisions of Section -------------------------- 12(c), the Corporation shall indemnify indemnify, and advance Expenses to the to, Indemnitee as provided in this Agreement and to the fullest extent permitted by applicable law in effect on the date hereof and to such greater extent as applicable law may thereafter from time to time permit. However, no indemnification shall be made by whether the Company actions or omissions (except as ordered by a court) unless a determination has been made in the manner provided for in Section 145(dor alleged actions or omissions) of Indemnitee giving rise to such indemnification (including the DGCL and Section 9(badvancing of Expenses) herein that occurs or occurred before or after the Indemnitee has met the applicable StandardEffective Date. The rights of the Indemnitee provided under the preceding sentence shall include, but shall not be limited to, the rights set forth in the other sections Sections of this Agreement.
