Common use of Indemnification Obligation Funding Clause in Contracts

Indemnification Obligation Funding. Despite anything in this Agreement to the contrary, any indemnity by the Company relating to Section 12.04 will be provided out of and to the extent of the Company’s assets. No Member will have any personal liability or will be required to make Capital Contributions to help satisfy the indemnity unless the Member otherwise agrees in writing.
