Indemnification Obligations of ADT NA. ADT NA shall indemnify Tyco and hold it harmless from and against (without duplication): (a) all Non-Income Taxes and other amounts for which the ADT NA Group is responsible under this Agreement, and (b) all Non-Income Taxes and reasonable out-of-pocket costs for advisors and other expenses attributable to a breach of any representation, covenant or obligation of ADT NA under this Agreement.
