Indemnification/Offset. I will indemnify and hold harmless Silver Icing and its agents and assigns from and against any damages, claims or liabilities and expenses (including attorneys' fees), incident to my (a) activities as a Stylist including, without limitation, any unauthorized representations made by me; (b) breach of the terms of this Agreement; or (c) violation of, or failure to comply with any applicable federal, provincial or local laws or regulations. Silver Icing shall have the right to offset any amounts owed by me to Silver Icing (including, without limitation, the repayment of bonuses as a result of product returns) against the amount of any commissions or bonuses owed to me.
Indemnification/Offset. I will indemnify and hold harmless peach, its subsidiaries, managers, officers, employees, agents and assigns from and against any damages, claims or liabilities and expenses (including attorneys’ fees) incident to my: (a) activities as a peach Stylist including, without limitation, any unauthorized representations made by me; (b) any negligent, reckless or intentionally wrongful act of myself or my assistants, employees, contractors or agents, including with respect to claims by third parties related to infringement of third party intellectual property rights; (c) a determination by a court or agency that I am not an independent contractor, (d) breach by me or by my assistants, employees, contractors or agents of any of the terms of this Agreement; or (e) violation of or failure to comply with any applicable federal, state or local laws or regulations. peach shall have the right to offset any amounts owed by me to peach (including, without limitation, the repayment of commissions as a result of charge backs and/or product returns) against the amount of any commissions or bonuses owed to me to the fullest extent permitted by applicable law.

I will indemnify and hold harmless I Dress Myself and its agents and assigns from and against any damages, claims or liabilities and expenses (including attorneys' fees), incident to my (a) activities as a Stylist including, without limitation, any unauthorized representations made by me; (b) breach of the terms of this Agreement; or (c) violation of, or failure to comply with any applicable federal, provincial or local laws or regulations. I Dress Myself shall have the right to offset any amounts owed by me to I Dress Myself (including, without limitation, the repayment of bonuses as a result of product returns) against the amount of any commissions or bonuses owed to me.
Indemnification/Offset. As a Consultant, You indemnify and hold harmless Vantel Pearls and its agents and assigns from and against any damages, claims or liabilities and expenses (including attorneys’ fees) incident to Your:

I will indemnify and hold harmless Noonday Collection and its agents and assigns from and against any damages, claims or liabilities and expenses (including attorneys' fees) incident to my: (a) activities as an Ambassador including, without limitation, any unauthorized representations made by me; (b) breach of the terms of this Agreement; or (c) violation of or failure to comply with any applicable federal, state or local laws or regulations. Noonday Collection shall have the right to offset any amounts owed by me to Noonday Collection (including, without limitation, the repayment of commissions as a result of product returns) against the amount of any commissions or bonuses owed to me.
Indemnification/Offset. The Trunk Keeper agrees to indemnify and hold harmless the Company, its subsidiaries, affiliates, and their shareholders, officers, agents, employees, accountants, attorneys or other advisors, and directors, from and against any claims, demand, liability, loss, cost or expense, including, but not limited to, court costs and attorneys’ fees, asserted against or suffered or incurred by any of them by reason of, directly or indirectly, arising out of or in any way related to or connected with, allegedly or otherwise, Trunk Keeper’s (a) activities as an MJC Trunk Keeper including, without limitation, any unauthorized representation made by such Trunk Keeper; (b) breach of any term or provision of this Agreement; or (c) violation of or failure to comply with any applicable federal, state or local law or regulation. The Company shall have the right to offset any amounts owed by the Trunk Keeper to the Company (including, without limitation, the repayment of bonuses received by the Trunk Keeper as a result of product returns) against the amount of any bonuses owed to the Trunk Keeper.

I agree to indemnify and hold harmless the Company, its subsidiaries, affiliates, and their shareholders, officers, agents, employees, and directors, from and against any claim, demand, liability, loss, cost or expense, including, but not limited to, court costs or attorneys' fees, asserted against or suffered or incurred by any of them by reason of, directly or indirectly, arising out of or in any way related to or connected with, allegedly or otherwise, my:

Reset Professional will indemnify and hold harmless Company and its agents and assigns from and against any damages, claims or liabilities and expenses (including attorneys' fees) incident to Reset Professional’s: (a) activities as a Reset Professional including, without limitation, any unauthorized representations made by Reset Professional; (b) breach of the terms of this Agreement; or (c) violation of or failure to comply with any applicable federal, state or local laws or regulations. Any other provision of this Agreement notwithstanding, Company shall have the right to offset any amounts owed by Reset Professional to Company (including, without limitation, the repayment of commissions as a result of product returns) against the amount of any commissions owed to Reset Professional.

I will indemnify and hold harmless Stella & Dot, its subsidiaries, and its managers, officers, employees, agents and assigns from and against any damages, claims, or liabilities and expenses (including attorneys’ fees) incident to my: (a) activities as an Ambassador including, without limitation, any unauthorized representations made by me; (b) any negligent, reckless or intentionally wrongful act of myself or anyone acting on my behalf including with respect to claims by third parties related to infringement of third party intellectual property rights; (c) a determination by a court or agency that I am not an independent contractor, (d) breach by me or anyone acting on my behalf of any of the terms of this Agreement; or (e) violation of or failure to comply with applicable laws, rules or regulations. Stella & Dot shall have the right to offset any amounts owed by me to Stella & Dot against the amount of any commissions or bonuses owed to me to the fullest extent permitted by applicable law.
Indemnification/Offset. The Business Owner agrees to indemnify and hold harmless Stella & Dot and its agents, successors and assigns from and against any damages, claims or liabilities and expenses (including legal fees) incident to her: (a) activities as a Business Owner including, without limitation, any unauthorised representations made by her; (b) breach of the terms of this Agreement, the Policies & Procedures and the Compensation Plan; or (c) violation of or failure to comply with any applicable codes, laws or regulations applicable to the IBO’s Business. The Company shall, to the fullest extent permitted by law, have the right to offset any amounts owed by the Business Owner to the Company (including, without limitation, the repayment of commissions as a result of charge backs and/or product returns) against the amount of any commissions or bonuses owed to her.
