Indemnification Reserve. The Indemnification Reserve shall be comprised of a reserve of shares of PLKD Common Stock equal to 10,000,000 Shares of PLKD Common Stock (the “Indemnification Shares”) whichever is greater. The Indemnification Reserve shall be maintained by the Olde Monmouth Stock Transfer Co., Inc., PLKD’s transfer agent (the “Transfer Agent”) for the benefit of the Pre-Merger NGH Shareholders on a pro rata basis from and after the Closing Date in accordance with this Article VIII.
Indemnification Reserve. PLKD shall deliver to the Transfer Agent instructions as to the reserve for issuance of Indemnification Shares, allocated among the Pre-Merger NGH Shareholders as provided in Schedule 9.3(d), to be available for issuance in accordance with Article VIII hereof.
Indemnification Reserve. For purposes of this Agreement, the term “Indemnification Reserve” means a portion of the FDA Milestone Consideration equal to the lower of (I) fifteen million dollars ($15,000,000) and (II) the FDA Milestone Consideration. In the event that no FDA Milestone Consideration is payable, the Indemnification Reserve shall be zero.
Indemnification Reserve. (a) Each of the Parent and General Surgical covenant and agree to set aside fifty percent (50%) of the accounts receivable set forth on Schedule 4.24(b) collected or otherwise received by or on behalf of the Parent, General Surgical or any of their Affiliates, and fifty percent (50%) of all amounts payable to the Parent under the Distributor Agreement, from and after the Closing until the Holdback Release Date, up to an aggregate maximum of $47,500.00 (the “Indemnification Reserve”). The Parent and General Surgical shall immediately transfer to the Purchaser all such cash and cash equivalents set aside pursuant to the Indemnification Reserve shall be held by the Purchaser as additional security for the indemnification obligations of Seller, the Parent, General Surgical and the Controlling Stockholders under Article X in a manner reasonably acceptable to the Purchaser.

  • Indemnification; Exculpation Borrower shall pay and protect, defend and indemnify Lender and Lender’s employees, officers, directors, shareholders, affiliates, correspondents, agents and representatives (other than Lender, collectively “Agents”) against, and hold Lender and each such Agent harmless from, all claims, actions, proceedings, liabilities, damages, losses, expenses (including, without limitation, attorneys’ fees and costs) and other amounts incurred by Lender and each such Agent, arising from (i) the matters contemplated by this Agreement or any other Loan Documents, (ii) any dispute between Borrower and a third party, or (iii) any contention that Borrower has failed to comply with any law, rule, regulation, order or directive applicable to Borrower’s business; provided, however, that this indemnification shall not apply to any of the foregoing incurred solely as the result of Lender’s or any Agent’s gross negligence or willful misconduct. This indemnification shall survive the payment and satisfaction of all of Borrower’s Obligations to Lender.

Notwithstanding anything to the contrary herein (but subject to any superior rights contained in the Company Constituent Documents (or, as relevant, those of the applicable Subsidiary of the Company) or applicable indemnification agreements to which any Acquired Company is a party), prior to making any advance in respect of the indemnification obligations set forth in this Section 5.9, the Person who is requesting such advance shall agree to repay such advances if it is ultimately determined that such Person is not entitled to indemnification in respect of the matter for which such advance was made.

Without limitation, the foregoing indemnity shall extend to any liability of any Indemnified Person, pursuant to a loan guaranty or otherwise, for any indebtedness of the Company or any Subsidiary of the Company (including any indebtedness which the Company or any Subsidiary of the Company has assumed or taken subject to), and the Manager (and its officers) are hereby authorized and empowered, on behalf of the Company, to enter into one or more indemnity agreements consistent with the provisions of this ‎Section 5.4 in favor of any Indemnified Person having or potentially having liability for any such indebtedness. It is the intention of this ‎Section 5.4(a) that the Company indemnify each Indemnified Person to the fullest extent permitted by law.

In addition, the Losses incurred by any Investor shall be determined on the basis of the number of Purchased Securities purchased by such Investor (or such Investor’s Affiliate, as applicable) hereunder and not on the basis of any other shares of Common Stock beneficially owned by such Investor, whether acquired prior to or after the consummation of the Transactions.

  • Indemnification - General The Company shall indemnify, and advance Expenses (as hereinafter defined) to, Indemnitee (a) as provided in this Agreement and (b) to the fullest extent permitted by applicable law in effect on the date hereof and as amended from time to time. To the fullest extent permitted by law, the Company shall indemnify and hold harmless each Covered Person from and against any and all civil, criminal, administrative or investigative losses, claims, demands, liabilities, expenses, judgments, fines, settlements and other amounts arising from any and all claims, demands, actions, suits or proceedings (“Claims”), in which the Covered Person may be involved, or threatened to be involved, as a party or otherwise, by reason of its management of the affairs of the Company or which relates to or arises out of the Company or its property, business or affairs. A Covered Person shall not be entitled to indemnification under this Section 11 with respect to (i) any Claim with respect to which such Covered Person has engaged in fraud, willful misconduct, bad faith or gross negligence or (ii) any Claim initiated by such Covered Person unless such Claim (or part thereof) (A) was brought to enforce such Covered Person’s rights to indemnification hereunder or (B) was authorized or consented to by the Board or the Sole Member. Expenses incurred by a Covered Person in defending any Claim shall be paid by the Company in advance of the final disposition of such Claim upon receipt by the Company of an undertaking by or on behalf of such Covered Person to repay such amount if it shall be ultimately determined that such Covered Person is not entitled to be indemnified by the Company as authorized by this Section 11.

  • Indemnification Payments The indemnification required by Sections 6.1 and Section 6.2 shall be made by periodic payments of the amount thereof during the course of the investigation or defense, as and when bills are received or expense, loss, damage or liability is incurred.
