Indemnitee Rights. Anything in this Section 8.2 to the contrary notwithstanding, the Indemnifying Representative shall not, without the written consent of the Indemnified Representative, settle or compromise any action or consent to the entry of any judgment which does not include as an unconditional term thereof the giving by the claimant or the plaintiff to each of the applicable Indemnitee(s) a full and unconditional release from all liability and obligation in respect of such action without any payment by any Indemnitee.
