Common use of INDEMNITEE'S OBLIGATIONS Clause in Contracts

INDEMNITEE'S OBLIGATIONS. Indemnitee shall advise the Company in writing of the institution of any investigation, claim, action, suit, or proceeding which is or may be subject to this Agreement and generally keep the Company informed of, and consult with the Company with respect to, the status of any such investigation, claim action, suit or proceeding.

INDEMNITEE'S OBLIGATIONS. The Indemnitee shall promptly advise the Company in writing of the institution of any investigation, claim, action, suit, suit or proceeding which is or may be subject to this Agreement and generally keep the Company generally informed of, and consult with the Company with respect to, the status of any such investigation, claim claim, action, suit or proceeding; provided, however, Indemnitee shall not have any obligation hereunder to the extent the Company is a party to such investigation, claim, action, suit or proceeding and is fully informed of such action.

In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's power.
