INDEMNITY AGAINST ACTIONS. Indemnitor xxxxxx agrees to indemnify Indemnitee and NJDEP against any claims brought or actions filed against Indemnitee or NJDEP in respect to the subject of indemnity herein recited, whether such claims or actions be rightfully or wrongfully brought or filed by, from or on behalf of a third party (other than Indemnitee and NJDEP), and arising from the alleged action or inaction of the Indemnitor, against all costs incurred by Indemnitee or NJDEP therein. In the case an action should be filed in respect to the subject of indemnity herein, Indemnitor agrees that Indemnitee and XXXXX may employ an Attorney of Indemnitee’s and NJDEP’s own selection to appear and defend the action, on behalf of Indemnitee or NJDEP at the expense of the Indemnitor.
INDEMNITY AGAINST ACTIONS. The Company shall indemnify on demand Dyersburg, its Affiliates and any Secondees against, including but not limited to, all actions, proceedings, damages, costs, charges or expenses taken against, or payable by, Dyersburg in arising from the provision of Technical Services under this Agreement.
