INDEMNITY AGAINST THIRD PARTY CLAIMS. Each Party must indemnify the other Party for all costs reasonably incurred by the Indemnified Party in respect of any claim or legal proceedings against the Indemnified Party by a third party arising out of any wilful, unlawful or negligent act or omission of the Indemnifying Party.
