Common use of Indemnity and insurance for Trustees Clause in Contracts

Indemnity and insurance for Trustees. Any Trustee, or any officer or employee of the Trust or any subsidiary of the Trust, may be indemnified or have their insurance costs met out of the Trust Assets against any liability which he or she incurs in defending any civil or criminal proceedings issued because of his or her actions in relation to the Trust or any subsidiary of the Trust, where those proceedings do not arise out of any failure by the Trustee, officer or employee and he or she was acting in good faith in a manner that he or she believed to be in the best interests of the Trust or any subsidiary of the Trust with the object of fulfilling the Trust Purposes.
