INDEMNITY AND LIMITATION. 8.1 The Supplier (whether or not this Agreement has been terminated) will at all times save harmless and keep fully indemnified the Company from and against any actions, claims, proceedings, losses, costs, expenses and demands (including costs and expenses in defending such matter and its proper settlement) howsoever arising, except where such matter arises out of the negligence of the Company.
