Indemnity from Outgoing Party. The Outgoing Party indemnifies the Incoming Party on demand against any Claim, damage, loss, cost, charge, expense, outgoing or payment which the Incoming Party pays, suffers, incurs or is liable for in respect of any act or omission by the Outgoing Party in respect of the Contract which occurs on or before the Novation Date.
