Indemnity from the Issuer. The Issuer shall, to the extent that the Trustee has not been indemnified out of all and any monies in the Trustee’s hands arising from the trusts created under this Deed and the other Transaction Documents, indemnify the Trustee in respect of all liabilities and reasonable expenses (including legal expenses on a solicitor and client basis) properly incurred by each of them or by any person appointed by any of them pursuant to clause 15.1(m) or to whom any trust, duty, right, power, authority or discretion may be delegated by them in the execution or purported execution of any of the trust, duties, rights, powers, authorities or discretions vested in them by this Deed, and against all actions, proceedings, costs (in the case of legal fees, being on a solicitor and client basis), claims and demands in respect of any matter or thing done or omitted in any way relating to this Deed and the other Transaction Documents(save and except where such losses, liabilities, expenses, actions, proceedings, costs, claims and demands are incurred or arise as a result of the gross negligence, wilful misconduct, fraud or failure to exercise reasonable degree of care and diligence on the part of the Trustee).

  • Tax Treatment of Indemnification Payments All indemnification payments made under this Agreement shall be treated by the parties as an adjustment to the Purchase Price for Tax purposes, unless otherwise required by Law.

  • Indemnity/Hold Harmless The Union agrees to indemnify and hold the District harmless against any and all liabilities (including reasonable and necessary costs of litigation) arising from any and all claims, demands, suits, or other actions relating to the District's compliance or attempted compliance with either this Article or the requests of the Union pursuant to this Article, or relating to the conduct of the Union in administering this Article.   • Closing the Account You May Cancel This Agreement You may cancel this agreement for any reason within 14 business days after you receive your card for a new account or such additional period if we permit or under applicable law. If you cancel within this time, we will refund or credit any annual fee for the new account. If you use or receive any benefit associated with the account before cancellation, the value of such benefit will be deducted from any refund you would otherwise receive. If you or a supplementary cardmember authorize any charge on the account, you will be required to repay all such amounts, including applicable interest. You may cancel the agreement by phoning us at the number on the back of your card and providing us with your card number. You may also cancel by writing to us and including your name, card number and contact information.

  • Additional Indemnity Provisions A. CONTRACTOR AND SYSTEM AGENCY AGREE TO FURNISH TIMELY WRITTEN NOTICE TO EACH OTHER OF ANY INDEMNITY CLAIM. CONTRACTOR SHALL BE LIABLE TO PAY ALL COSTS OF DEFENSE, INCLUDING ATTORNEYS’ FEES.
