Common use of INDEMNITY OF LICENSOR Clause in Contracts

INDEMNITY OF LICENSOR. Licensee agrees to defend, indemnify and hold Licensor, its officers, directors, employees and agents, harmless against all claims, liabilities, demands, damages, expenses or losses arising out of or connected with (a) the use by Licensee of the Marks or (b) any use, sale or other disposition of Licensee's Products by Licensee or by any other party.

INDEMNITY OF LICENSOR. Licensee agrees to defend, indemnify and hold Licensor, its officers, directors, employees and agents, harmless against all claims, liabilities, demandsdeands, damages, expenses or losses arising out of or connected with (a) the wrongful or negligent use by Licensee of the Marks Xxxx or (b) any use, sale or other disposition of Licensee's Products ’s products by Licensee or by any other party.

INDEMNITY OF LICENSOR. Licensee agrees to defend, indemnify and hold Licensor, its officers, directors, employees and agents, harmless against all claims, liabilities, demands, damages, expenses or losses arising out of or connected with (a) the wrongful or negligent use by Licensee of the Marks Mark or (b) any use, sale or other disposition of the Manxxxxtured Products and/or Licensee's Products products by Licensee or by any other party.

INDEMNITY OF LICENSOR. Licensee agrees to defend, indemnify and hold Licensor, its officers, directors, employees and agents, harmless against all claims, liabilities, demands, damages, expenses or losses arising out of or connected with (a) the use by Licensee of the Marks or (b) any use, sale or other disposition of Licensee's or EI's Manufactured Products by Licensee or by any other party.

INDEMNITY OF LICENSOR. Licensee agrees to defend, indemnify and hold Licensor, its officers, directors, employees and agents, harmless against all claims, liabilities, demands, damages, expenses or losses arising out of or connected with (a) the wrongful or negligent use by Licensee of the Marks Mark or (b) any use, sale or other disposition of Licensee's Products proxxxxs by Licensee or by any other party.
