Common use of Independence of the Administrator Clause in Contracts

Independence of the Administrator. For all purposes of this Agreement, the Administrator shall be an independent contractor and shall not be subject to the supervision of the Trust, the Trustees, or the Owners with respect to the manner in which it accomplishes the performance of its obligations hereunder. Unless expressly authorized by the Trust, the Trustees, or the Owners, the Administrator shall have no authority to act for or represent the Trust, the Trustees, or the Owners, respectively, in any way other than as specified hereunder and shall not otherwise be deemed an agent of the Trust, the Trustees, or the Owners.

Independence of the Administrator. For all purposes of this Agreement, the Administrator shall be an independent contractor and shall not be subject to the supervision of the Issuer, the Underlying Trust, the Trustees, Underlying Trustee or the Owners Owner Trustee with respect to the manner in which it accomplishes the performance of its obligations hereunder. Unless expressly authorized by the Trust, the Trustees, or the OwnersIssuer, the Administrator shall have no authority to act for or represent the Issuer, the Underlying Trust, the Trustees, Underlying Trustee or the Owners, respectively, Owner Trustee in any way other than as specified hereunder and shall not otherwise be deemed an agent of the Issuer, the Underlying Trust, the Trustees, Underlying Trustee or the OwnersOwner Trustee.

Unless expressly authorized by the Trust, the Trustees, or the Owners, the Administrator shall have no authority to act for or represent the Trust or the Owner Trustee (and, regardless of whether authorized by the Trust, the Trustees, or Administrator shall have no such authority at all with respect to the Owners, respectively, Indenture Trustee) in any way other than as specified hereunder and shall not otherwise be deemed an agent of the Trust, the Trustees, Trust or the OwnersOwner Trustee or the Indenture Trustee.

Unless expressly authorized by the TrustIssuer, the Trustees, Owner Trustee or the OwnersGrantor Trustee, the Administrator shall have no authority to act for or represent the TrustIssuer, the Trustees, Owner Trustee or the OwnersGrantor Trustee, respectively, in any way other than as specified hereunder and shall not otherwise be deemed an agent of the TrustIssuer, the Trustees, Grantor Trustee or the OwnersOwner Trustee.
