Independent Agent Status. For all functions provided under the terms of this agreement, GrantsMagic U is acting as an independent agent and principal on this agreement and is neither an employee nor a contractor of the Affiliate.
Independent Agent Status. (i) The relationship of the parties under this agreement is one of independent Agents, and no joint venture, partnership, agency, employer-employee, or similar relationship is created in or by this agreement. Neither party may assume or create obligations on the other party’s behalf, and neither party may take any action that creates the appearance of such authority.
(ii) The Agent has the sole right to control and direct the means, details, manner, and method by which the Services will be performed, and the right to perform the Services at any time, place, or location. GK or the Agent’s s staff shall perform the Services, and GK is not required to hire, supervise, or pay any assistants to help the Agent perform those Services.
Independent Agent Status. Agent acknowledges that he/she is an independent Agent and is not a partner, joint venturerer nor employee of Southland. Agent shall have no authority to bind or otherwise obligate Agent in any manner nor shall Agent represent to anyone that it has a right to do so. Agent further agrees that in the event that Southland suffers any loss or damage as a result of a violation of this provision Agent shall indemnify and hold harmless Southland form any such loss or damage.
Independent Agent Status. The Agent is an independent Agent. The Agent shall be free to exercise its own judgment as to the persons whom it will use to assist it in the performance of its services and whom it will hire as employees or agents, and the time, place and manner of rendering its services, including arranging for others to provide services directly to the Company. Agent shall be liable for all general and indirect expenses which it incurs in connection with the performance of its duties hereunder and for any and all damages which may arise from its conduct and that of its agents and employees. None of the agents and employees of the Agent shall be construed as agents, employees or representatives of the Company. The Agent shall have no authority to bind the Company in any manner whatsoever.
Independent Agent Status. An Agent is not a partner, or party in any joint venture with YTG. An Agent may not claim that such an arrangement exists. An Agent is responsible for his/her own business decisions and expenditures.
