Common use of Independent Decision Clause in Contracts

Independent Decision. The Purchaser is not relying on the Company, or on any legal or other opinion in the materials reviewed by the Purchaser with respect to the financial or tax considerations of the Purchaser relating to its investment in the Shares. The Purchaser has relied solely on the representations, and information contained in the covenants and agreements of the Company in this Subscription Agreement; the Private Placement Memorandum dated October 19, 2009; and the Supplement thereto dated November 20, 2009, and on its examination and independent investigation in making its decision to acquire the Shares. The Purchaser has been afforded the opportunity to obtain, and has been furnished, all material that it has requested relating to the proposed operation of the Company, any other matters relating to the business and properties of the Company and the offer and sale of the Shares.
