Common use of Independent Decision Clause in Contracts

Independent Decision. The Purchaser has independently and without reliance on the Company, and based on such information as the Purchaser has deemed appropriate, made its own analysis and decision to enter into this Agreement and the transaction contemplated hereby, except that the Purchaser has relied upon the Company’s express representations, warranties and covenants made herein. The Purchaser acknowledges that the Company has not given the Purchaser any investment advice, credit information or opinion on whether the purchase of the Notes is a prudent investment decision.

Independent Decision. The Purchaser is not relying on the Company or on any legal or other opinion in the materials reviewed by the Purchaser with respect to the financial or tax considerations of the Purchaser relating to its investment in the Shares and Warrants. The Purchaser has independently and without reliance relied solely on the Companyrepresentations, warranties, covenants and based agreements of the Company in this Agreement (including the Exhibits and Schedules hereto) and on such information as the Purchaser has deemed appropriate, made its own analysis examination and independent investigation in making its decision to enter into this Agreement acquire the Shares and the transaction contemplated hereby, except that the Purchaser has relied upon the Company’s express representations, warranties and covenants made herein. The Purchaser acknowledges that the Company has not given the Purchaser any investment advice, credit information or opinion on whether the purchase of the Notes is a prudent investment decisionWarrants.
