Common use of Independent Legal Advice Clause in Contracts

Independent Legal Advice. The Shareholder acknowledges that it has been advised to seek independent legal advice with respect to this Agreement and the Shareholder has either obtained such advice or consciously determined that it does not need such advice and that, in either case, it is entering into this agreement of its own free will, under no compulsion or duress and that it understands and is aware of the terms and conditions hereof.

Independent Legal Advice. The Shareholder acknowledges that it has been advised to seek independent legal advice with respect to this Agreement and the Shareholder has either obtained such advice or consciously determined that it does not need such advice and that, in either case, it is entering into this agreement Agreement of its own free will, under no compulsion or duress and that it understands and is aware of the terms and conditions hereof.

Independent Legal Advice. The Shareholder acknowledges that it has been advised afforded the opportunity to seek obtain independent legal advice with respect to and confirms by the execution and delivery of this Agreement and that the Shareholder has either obtained such advice done so or consciously determined that it does not need such advice and that, waived their right to do so in either case, it is connection with the entering into of this agreement of its own free will, under no compulsion or duress and that it understands and is aware of the terms and conditions hereofAgreement.

Independent Legal Advice. The Shareholder acknowledges that it has entered into this Agreement willingly with full knowledge of the obligations imposed by the terms of this Agreement. The Shareholder further acknowledges that it has been advised afforded the opportunity to seek obtain independent legal advice with respect to and confirms by the execution of this Agreement and the Shareholder that it has either obtained such advice done so or consciously determined waived its right to do so, and agrees that it does not need such advice and that, in either case, it is entering into this agreement of its own free will, under no compulsion or duress Agreement constitutes a binding legal obligation and that it understands and is aware of estopped from raising any claim on the terms and conditions hereofbasis that it has not obtained such advice.

Independent Legal Advice. The Shareholder acknowledges and agrees that it the Shareholder has been advised had the opportunity to seek independent legal advice with respect to this Agreement Agreement, and the transactions contemplated hereby, and that any failure on the Shareholder’s part to seek independent legal advice shall not affect (and the Shareholder has either obtained such advice or consciously determined shall not assert that it does not need such advice and thataffects) the validity, in either case, it is entering into enforceability or effect of this agreement of its own free will, under no compulsion or duress and that it understands and is aware of the terms and conditions hereofAgreement.

Independent Legal Advice. The Shareholder acknowledges that it the Shareholder has either obtained independent legal advice with respect to the terms of this Agreement or that the Shareholder has, despite having been advised given the opportunity to do so, and appreciating the importance of so doing, declined to seek independent legal advice with respect to the terms of this Agreement Agreement; and the Shareholder has either obtained such advice or consciously determined that it does not need such advice and that, in either case, it is entering into this agreement of its own free will, under no compulsion or duress and that it understands and is aware of the terms of, and conditions hereofsuch party's rights and obligations under, this Agreement.

Independent Legal Advice. The Shareholder acknowledges that it has been advised Shareholders have availed themselves of the opportunity to seek obtain independent legal advice with in respect to of this Agreement and the transactions contemplated hereby. If a Shareholder has either obtained did not obtain independent legal advice prior to executing this Agreement, such advice or consciously determined Shareholder agrees that it does will not need such advice and that, raise that fact as a defence or otherwise in either case, it is entering into any proceeding relating to the enforcement of rights or obligations under this agreement of its own free will, under no compulsion Agreement or duress and that it understands and is aware of the terms and conditions hereoftransactions contemplated hereby.
