Consultation with Legal Counsel. Escrow Agent may consult with its counsel or other counsel satisfactory to it concerning any question relating to its duties or responsibilities hereunder or otherwise in connection herewith and shall not be liable for any action taken, suffered or omitted by it in good faith upon the advice of such counsel.
Consultation with Legal Counsel. The Company hereby advises Employee to consult with an attorney prior to signing this Agreement.

Each of the PARTIES have had the opportunity to, and have to the extent each deemed appropriate, obtained legal counsel concerning the content and meaning of this AGREEMENT. Executive acknowledges and agrees that he has been provided a reasonable time to review this Agreement with legal counsel and to consider the terms and provisions of this Agreement. Both Parties acknowledge and agree that they are voluntarily entering into this Agreement, after consultation with their legal counsel if so desired, and after full disclosure of all the facts and circumstances surrounding the execution of this Agreement and its legal effect.

Guarantor acknowledges that the waivers in Section 2.4 and 2.5 herein are a material inducement to Lender to make Revolving Loans under the Loan Agreement and that Lender is relying upon the foregoing waivers in its future dealings with Borrower. Guarantor warrants and represents that Guarantor has reviewed the foregoing waivers with Guarantor's legal counsel and that, after such review with such legal counsel, Guarantor has agreed to the foregoing waivers.
