Individual User Units Clause Samples

The 'Individual User Units' clause defines how the agreement applies to each separate user or account within an organization or system. Typically, this clause specifies that each user, workstation, or device accessing the service or software is considered a distinct unit for the purposes of licensing, billing, or usage tracking. For example, if a company has 50 employees using a software platform, each employee may count as one user unit under the agreement. This clause ensures clarity in how fees are calculated and helps prevent disputes over the scope of permitted use or the number of users covered by the contract.
Individual User Units. 4.1 For the purposes of calculating Individual User Fees, the number of "Individual User Units" shall, in relation to any single Individual User during any one month, be the number of End User Receptors on the Specified Date (or if the number is variable on that date, the maximum number of End User Receptors for that day) permitted to access the Information by means of Licensee-derived authorization. Such authorization shall include but shall not be limited to passwords, user ID logons, access codes or security codes or any more general means of authorization such as those granted ‘en bloc’ to a specified maximum number of individual users and/or regulated by remote on-line audit tools without using passwords or the like.
