Individual Warranties. 13.1 Each Founder has never been charged with or convicted of a criminal offence (other than a road traffic offence for which no custodial sentence was imposed), nor have any bankruptcy or equivalent proceedings or proceedings for disqualification as a director been threatened or brought against him/her, nor is he/she aware of any circumstances which he/she believes may give rise to any such proceedings.
