LICENCES AND CONSENTS. If a licence or consent of any third party (including without limitation any governmental or other authority) is required in connection with the Seller supplying the Goods and/or the Services, the Seller shall obtain the licence or consent at its own expense and produce evidence of it to VICTREX on demand.

LICENCES AND CONSENTS. 5.1 The Company has all necessary licences, consents, permits and authorities necessary to carry on its business in the places and in the manner in which its business is now carried on, all of which are valid and subsisting. 5.2 There is no reason why any of those licences, consents, permits and authorities should be suspended, cancelled, revoked or not renewed on the same terms.
LICENCES AND CONSENTS. 8.2.1 All licences, consents, Authorisations, orders, warrants, confirmations, permissions, certificates, approvals, registrations and authorities (“Licences”) necessary for the carrying on of the businesses of the Company as now carried on, have been obtained and neither the Company, nor any of its officers or employees has committed any criminal offence or any breach of the requirements or conditions of any Law or other obligation relating to the Company or the carrying on of its business. 8.2.2 There is no investigation, enquiry or proceeding outstanding or anticipated which is likely to result in the suspension, cancellation, modification or revocation of any Licence. 8.2.3 None of the Licences has been breached or is likely to be suspended, modified or revoked (whether as a result of the entry into or completion of this Agreement or otherwise).
LICENCES AND CONSENTS. 12.1 So far as the Sellers are aware, the Company has all material licences (including statutory licences), consents, approvals and authorisations necessary to carry on its Business as it does at present. 12.2 So far as the Sellers are aware, as of the date hereof there are no facts that might result in the revocation, suspension or modification of any of those licences or consents or prejudice their renewal.
LICENCES AND CONSENTS. 5.1 Save as Publicly Announced or disclosed in the Circular, the Group has all material licences, consents, approvals, permissions, permits, certificates, qualifications, registrations and other authorisations (public and private) necessary for the proper and efficient operation of its current businesses in the places and in the manner in which the business is now carried on (together the “Authorities”). 5.2 Save as Publicly Announced or disclosed in the Circular, all of the Authorities are in full force and effect and are not limited in duration or subject to any unusual or onerous conditions, and have been complied with in all material respects. 5.3 Save as Publicly Announced or disclosed in the Circular, so far as the Company is aware, there are no circumstances which indicate that any of the Authorities will be revoked or not renewed, in whole or in part, whether as a result of the transactions contemplated by this Agreement or otherwise.
LICENCES AND CONSENTS. 8.1.1 Each Group Company has obtained, holds and maintains all material licences, permits, consents, registrations and authorisations necessary to conduct the Business (as conducted immediately prior to the Reorganisation) or necessary to own or operate the assets required to conduct the Business (as conducted immediately prior to the Reorganisation) (collectively, the “Business Licences”). 8.1.2 Each Group Company is (and during the three years prior to the date of this Agreement has been), and the Business is operated (and during the three years prior to the date of this Agreement has been operated), in material compliance with all Business Licences. 8.1.3 In the past three years, no written notification has been received by any member of the Seller’s Group nor, so far as the Seller is aware, any officer or employee of any member of the Seller’s Group, that indicates that any Business Licence is likely to be suspended, modified or revoked or will likely not be extended, renewed or, where necessary, transferred. So far as the Seller is aware, no facts or circumstances exist which may result in the termination, revocation, suspension or modification of any Business Licence or that may prejudice the extension, renewal or, where necessary, transfer of any Business Licence.
LICENCES AND CONSENTS. The Company shall make all necessary applications from time to time to the proper authorities and the Commonwealth and the State for the grant to it of any licences or consents required under Commonwealth or State law to permit it to enter into this Agreement and perform its obligations hereunder.

LICENCES AND CONSENTS. Each member of the Covenant Group has, at all relevant times, obtained all material licences (including, without limitation, the Licences), permissions, authorisations and consents (each an "APPROVAL") required for the conduct of its business as carried on from time to time, and all such approvals are valid and subsisting save in any such case where failure to obtain such an approval or the invalidity of such an approval or its failure to subsist could not reasonably be expected to have a Material Adverse Effect and to the best of its knowledge and belief there has been no act or omission on the part of it, any Covenant Group member which is likely to give rise to the enforcement, revocation, material amendment, suspension, withdrawal or avoidance of any of the approvals or any of the material terms or conditions thereof, which enforcement, revocation, amendment, withdrawal, suspension or avoidance could reasonably be expected to have a Material Adverse Effect.
LICENCES AND CONSENTS. 10.9.1 The Company and its subsidiaries have obtained all necessary licences and consents from any person, authority or body for the proper operation of its business. 10.9.2 The Company and its subsidiaries are not in breach of any of the terms or conditions of any such licences or consents which are all valid and subsisting and there are no factors that might in any way prejudice the continuation or renewal of any of them.
LICENCES AND CONSENTS. Each of the Group Members has obtained all licences, permissions, authorisations and consents required to own and operate its assets and for the proper carrying on of its business (full details of which are set out in the Disclosure Letter). All such licences, permissions, authorisations and consents are in full force and effect, have been obtained on a permanent and unconditional basis and none of the Group Members are in breach of any of the terms and conditions attached to those licences, permissions, authorisations and consents. To the best knowledge of the Vendor, there are no circumstances which indicate that any of such licences, permissions, authorisations or consents may be revoked or not renewed in the ordinary course of events nor are there any circumstances which indicate that equivalent licences, permissions, authorisations or consents on no less favourable terms would not be granted to the Group Members following the acquisition of the Shares by the Purchaser.
