Common use of Ineffective Provisions Clause in Contracts

Ineffective Provisions. If any of the provisions hereof becomes invalid, unlawful or unenforceable in any way, such fact shall not affect or otherwise infringe the validity, lawfulness or enforceability of the remaining provisions hereof in any way. If any of the provisions hereof becomes invalid (e.g. as a result of a change in generally binding legal regulations), the Contracting Parties commit to replace such invalid portions of this Contract by new provisions that comply with applicable generally binding legal regulations and that as closely as possible approximate the purpose of the Contract assumed by the Contracting Parties.
