Information Rights; Access. The Company shall, and shall cause its Subsidiaries to, keep proper books, records and accounts, in which full and correct entries shall be made of all financial transactions and the assets and business of the Company and each of its Subsidiaries in accordance with GAAP. So long as each Holder executes and delivers to the Company a customary confidentiality agreement applicable to the Information Rights on a form reasonably acceptable to the Company, each Holder shall be entitled to receive the following information rights (the rights described in Section 3.1(b)(i) through Section 3.1(b)(iv) below, collectively and as applicable, constituting the “Information Rights”):
