HANDLING OF CONFIDENTIAL INFORMATION. The Company agrees to undertake the following in relation to IHiS’ Confidential Information: to maintain the same in confidence and to use it only for the Purpose and for no other purpose; not to make any commercial use thereof; not to use the same for the benefit of itself or of any third party other than pursuant to a further agreement with IHiS; not to use the same for the purpose of guiding or conducting a search of any information, materials or sources, whether or not available to the public, for any purpose whatsoever, including without limitation, for the purpose of demonstrating that any information falls within one of the exceptions in Clause 1.1(b); not to copy, reproduce, reverse engineer or reduce to writing any part thereof except as may be reasonably necessary for the Purpose and that any copies, reproductions or reductions to writing so made shall be the property of IHiS; not to disclose the Confidential Information whether to its employees or to third parties except in confidence to such of its Representatives who have been informed of the confidential nature thereof and who need to know the same for the Purpose and that: such Representatives are contractually obliged (whether by their contracts of employment or service, or otherwise) not to disclose the same or to use the same otherwise than for the Purpose; and the Company shall enforce such obligations at its expense, and to such extent as may be required by IHiS, in the event of a breach thereof that relates to IHiS' Confidential Information; to ensure the compliance to this NDA (including sub-clauses (a) to (f) above) on the part of its Representatives to whom Confidential Information is disclosed; and to apply to the Confidential Information no lesser security measures and degree of care than those which the Company applies to its own confidential or proprietary information of similar nature, but in no event less than reasonable care, and which the Company warrants as being adequate protection of such information from unauthorised disclosure, copying or use. HANDLING OF CONFIDENTIAL INFORMATION. Provider shall protect against the unauthorized access, use or disclosure of Confidential Information by employing security measures that are no less protective as those used to protect Provider’s own confidential information. When handling Confidential Information, which may include but is not limited to Student Data, Provider shall:
i. When mailing physical copies of Confidential Information, send the Confidential Information in a tamper-proof, labeled container, with a tracking number and a delivery confirmation receipt;
ii. Not store any Confidential Information on portable or removable electronic media, such as CDs, DVDs, electronic tape, flash drives, etc.;
iii. Not leave Confidential Information in any medium unsecured and unattended at any time;
iv. Keep all physical copies (paper, portable or removable electronic media, or other physical representations) of Confidential Information under lock and key, or otherwise have sufficient physical access control measures to prevent unauthorized access;
v. Password protect any laptop or other electronic device that contains Confidential Information. Additionally, any laptop or other electronic device that contains Confidential Information shall have its full hard drive encrypted with an encryption key of no less than 256 bits. Provider shall not leave any laptop or other electronic device unattended without enabling a screen-lock or otherwise blocking access to the laptop or other electronic device. Provider shall ensure that no password or other information sufficient to access a laptop or electronic device containing Confidential Information is attached to or located near the laptop or other electronic device at any time.
vi. Secure the Confidential Information stored on its systems, including but not limited to any servers, by employing adequate security measures to prevent unauthorized access, disclosure and use of that information. These measures include appropriate administrative, physical, and technical safeguards, policies and procedures relating to data access controls. All Confidential Information must be secured in transit using secure FTP services or https/TLS 1.0+. Provider must maintain industry recognized security practices to establish secure application(s), network, and infrastructure architectures.

HANDLING OF CONFIDENTIAL INFORMATION. Provider shall protect against the unauthorized access, use or disclosure of Confidential Information subject to the terms and conditions of this Agreement and to Exhibit C attached hereto and incorporated herein of this Agreement.

The THIRD PARTY shall, and shall ensure and procure that its servants shall, maintain the Confidential Information in strict confidence, including requiring its servants to enter into a confidentiality agreement on substantially the same terms as this Confidentiality Agreement, and shall, without limitation to the generality of this obligation, exercise in relation thereto no less security measures and degree of care than those which it applies to its own confidential information which it warrants as providing adequate protection against unauthorised disclosure, copying or use.
2.2. Upon termination of this Confidentiality Agreement, all Confidential Information received by the THIRD PARTY and copies thereof shall be destroyed by him.

Upon termination of this Confidentiality Agreement, all Confidential Information received by the RECIPIENT and copies thereof shall be destroyed by him.
HANDLING OF CONFIDENTIAL INFORMATION. The parties acknowledge that they will be exchanging information about their businesses under this Agreement which is confidential and proprietary, and the parties agree to handle that confidential and proprietary information in the manner described in this Section 27.
HANDLING OF CONFIDENTIAL INFORMATION a. Confidential information. The following information is confidential between a licensee and his or her Client:
i. The seller or landlord is willing to accept less;
ii. The buyer or tenant is willing to pay more;
iii. Information regarding motivating factors for the Client;
iv. Information that a Client will agree to other financing terms;
v. Material information about a Client not required by law to be disclosed;
vi. Facts or suspicions which may psychologically impact or stigmatize a Client’s property;
HANDLING OF CONFIDENTIAL INFORMATION. Each party agrees that at all times and notwithstanding any termination or expiration of this Agreement it will hold in strict confidence and not disclose to any third party Confidential Information of the other, except as approved in writing by the other party to this Agreement, and will use the Confidential Information for no purpose other than with the other party to this Agreement. Each party shall only permit access to Confidential Information of the other party to those of its employees or authorized representatives having a need to know and who have signed confidentiality agreements or are otherwise bound by confidentiality obligations at least as restrictive as those contained herein.
HANDLING OF CONFIDENTIAL INFORMATION. 2.1 The Proper Use to which Xxxx Solutions may put Confidential Information from Tenderer shall be limited to: (i) the evaluation of whether to enter into a contract with Tenderer or an affiliate of Tenderer for the purchase or other form of acquisition of goods and/or services; (ii) for inclusion within bids or tenders prepared by Xxxx Solutions to its clients; and (iii) disclosure to and discussion with clients with whom Xxxx Solutions is in a tendering situation.. Xxxx Solutions will use reasonable efforts to ensure such clients are bound by appropriate confidentiality terms similar to the provisions of this Agreement.
2.2 The Proper Use to which Tenderer may put Confidential Information from Xxxx Solutions shall be limited to (i) the preparation of an offer to Xxxx Solutions for the supply of goods and/or services; and/or (ii) for the purposes of any clarifications of such offer and/or negotiation of a purchase order, contract, or other agreement with Xxxx Solutions; and/or (iii) disclosure of Confidential Information to suppliers and/or subcontractors, in accordance with (i) and (ii) of this Article, Provided Tenderer ensure terms identical to this Agreement are in place prior to disclosing Confidential Information.
2.3 The Parties undertake in respect of Confidential Information to:
(a) hold such Confidential Information in confidence and not exploit it commercially, or use it for acquiring intellectual property rights; and
(b) use such Confidential Information only for the Proper Use; and
(c) permit access to such Confidential Information only to such of its employees and consultants as need such Confidential Information for the Proper Use and who have been informed of the Confidential nature of the Information and who are bound to confidentiality by their employment agreements or otherwise on similar terms and conditions.
2.4 The Parties shall exercise no less a degree of care in protecting the confidentiality of Confidential Information as that which it uses to protect its own information of like sensitivity and importance and in no case shall the degree of care be less than is reasonable.
2.5 The Parties shall neither use nor duplicate the Confidential Information, in whole or in part, for any purpose other than for the Proper Use without the prior written consent of the other Party.
