Common use of Information to Independent Engineer Clause in Contracts

Information to Independent Engineer. Viking and VHI have no reason to believe that (i) the report prepared by GLJ dated February 10, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Viking as of December 31, 2004 (the "VIKING REPORT"); (ii) the report prepared by GLJ dated February 23, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Calpine Natural Gas Trust (the "CNGT REPORT"); (iii) the report prepared by GLJ dated February 24, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Kensington Energy Inc. as of December 31, 2004 (the "KENSINGTON REPORT"); (iv) the report prepared by GLJ dated May 18, 2005 and effective as at April 30, 2005 evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Krang Energy Inc. (the "KRANG REPORT"); and (v) if applicable, any updates to such reports or any other reserve evaluation reports which may be, or be deemed to be, included or incorporated by reference in the Viking Information Circular, whether in addition to or as a replacement for the reports referred to in clauses (i) through (iv); was not accurate in all material respects as at the effective date of such report, and, except for any impact of changes in commodity prices, which may or may not be material, Viking and VHI have no knowledge of a Material Adverse Change in the production, costs, price, reserves, estimates of future net production revenues or other relevant information from that disclosed in that report. Viking (or, to its knowledge, Calpine Natural Gas Trust, Kensington Energy Ltd. or Krang Energy Inc., as applicable) has provided to GLJ all material information concerning land descriptions, well data, facilities and infrastructure, ownership and operations, future development plans and historical technical and operating data respecting the principal oil and gas assets of the Viking Parties, in each case as at the effective dates of such reports, and, in particular, all material information respecting the Viking Parties' interests in their principal oil and gas assets and royalty burdens and net profits interest burdens thereon and such information was accurate and correct in all material respects as at the respective dates thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof and there has been no Material Adverse Change in any of the material information so provided since the date thereof.

Information to Independent Engineer. Viking APF and VHI APF Co have no reason to believe that (i) the report prepared by GLJ of Xxxxxxx Xxxxxxxx Xxxx Associates Ltd. (“GLJ”) dated February 1028, 2005 and effective as at of December 31, 2004 and the report of Xxxxxxx Associates Limited (“Xxxxxxx”) dated February 18, 2005 and effective December 31, 2004, evaluating the crude oil, natural gas liquids oil and natural gas reserves and future net production revenues attributable to the properties of Viking APF (taken as a whole) as of December 31, 2004 (the "VIKING REPORT"); (ii) the report prepared by GLJ dated February 23, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Calpine Natural Gas Trust (the "CNGT REPORT"); (iii) the report prepared by GLJ dated February 24, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Kensington Energy Inc. as of December 31, 2004 (the "KENSINGTON REPORT"); (iv) the report prepared by GLJ dated May 18, 2005 and effective as at April 30, 2005 evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Krang Energy Inc. (the "KRANG REPORT"); and (v) if applicable, any updates to such reports or any other reserve evaluation reports which may be, or be deemed to be, included or incorporated by reference in the Viking Information Circular, whether in addition to or as a replacement for the reports referred to in clauses (i) through (iv); was not accurate in all material respects as at the effective date of such report, and, except for any impact of changes in commodity pricesprices and except as disclosed in the APF Disclosure Letter, which may or may not be material, Viking APF and VHI APF Co have no knowledge of a Material Adverse Change material adverse change in the production, costs, price, reserves, estimates of future net production revenues or other relevant information from that disclosed in that report. Viking (or, to its knowledge, Calpine Natural Gas Trust, Kensington Energy Ltd. or Krang Energy Inc., as applicable) APF has provided to GLJ and Xxxxxxx all material information concerning land descriptions, well data, facilities and infrastructure, ownership and operations, future development plans and historical technical and operating data respecting the principal oil and gas assets of the Viking APF Parties, in each case as at the effective dates of such reportsDecember 31, 2004, and, in particular, all material information respecting the Viking APF Parties' interests ’ interest in their principal oil and gas assets and royalty burdens and net profits interest burdens thereon and such information was accurate and correct in all material respects as at the respective dates date thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof and there has been no Material Adverse Change material adverse change in any of the material information so provided since the date thereof.

Information to Independent Engineer. Viking PrimeWest and VHI OpCo have no reason to believe that (i) the report prepared by GLJ dated February 10Report, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Viking as of December 31, 2004 (the "VIKING REPORT"); (ii) the report prepared by GLJ dated February 23, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Calpine Natural Gas Trust (the "CNGT REPORT"); (iii) the report prepared by GLJ dated February 24, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Kensington Energy Inc. as of December 31, 2004 (the "KENSINGTON REPORT"); (iv) the report prepared by GLJ dated May 18, 2005 and effective as at April 30, 2005 evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Krang Energy Inc. (the "KRANG REPORT"); Paddock Report and (vii) if applicable, any updates to such reports or any other reserve evaluation reports which may be, be or be deemed to be, included or incorporated by reference in the Viking PrimeWest Information Circular, whether in addition to or as a replacement for the reports report referred to in clauses (i) through and (iv); ii) was not accurate in all material respects as at the effective date of such report, and, except for any impact of changes in commodity prices, which may or may not be material, Viking PrimeWest and VHI OpCo have no knowledge of a Material Adverse Change material adverse change in the production, costs, price, reserves, estimates of future net production revenues or other relevant information from that disclosed in that report. Viking PrimeWest (or, to its knowledge, Calpine Natural Gas Acquired Trust, Kensington Energy Ltd. or Krang Energy Inc., as applicable) has provided to GLJ or Paddock, as applicable, all material information concerning land descriptions, well data, facilities and infrastructure, ownership and operations, future development plans and historical technical and operating data respecting the principal oil and gas assets of the Viking PartiesPrimeWest Subsidiaries, in each case as at the effective dates of such reports, and, in particular, all material information respecting the Viking PartiesPrimeWest Subsidiaries' interests in their principal oil and gas assets and royalty burdens and net profits interest burdens thereon and such information was accurate and correct in all material respects as at the respective dates thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof and there has been no Material Adverse Change material adverse change in any of the material information so provided since the date thereof.

Information to Independent Engineer. Viking and VHI have Solana has no reason to believe that (i) the report prepared by GLJ DxXxxxxx and MxxXxxxxxxx Canada Limited dated February April 10, 2005 2008 and effective as at December 31, 20042007, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Viking Solana as of December 31, 2004 2007 (the "VIKING REPORT"); (ii“Solana Reserve Report”) the report prepared by GLJ dated February 23and, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Calpine Natural Gas Trust (the "CNGT REPORT"); (iii) the report prepared by GLJ dated February 24, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Kensington Energy Inc. as of December 31, 2004 (the "KENSINGTON REPORT"); (iv) the report prepared by GLJ dated May 18, 2005 and effective as at April 30, 2005 evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Krang Energy Inc. (the "KRANG REPORT"); and (v) if applicable, any updates to such reports report or any other reserve evaluation reports which may be, or be deemed to be, included or incorporated by reference in the Viking Information CircularSolana Joint Proxy Statement, whether in addition to or as a replacement for to the reports referred to in clauses (i) through (iv); Solana Reserve Report, was not accurate in all material respects as at the effective date of such report, report and, except for any impact of changes in commodity prices, which may or may not be material, Viking and VHI have Solana has no knowledge of a Material Adverse Change in the production, costs, price, reserves, estimates of future net production revenues or other relevant information from that disclosed in that report. Viking (or, to its knowledge, Calpine Natural Gas Trust, Kensington Energy Ltd. or Krang Energy Inc., as applicable) Solana has provided to GLJ DxXxxxxx and MxxXxxxxxxx Canada Limited all material information concerning land descriptions, well data, facilities and infrastructure, ownership and operations, future development plans and historical technical and operating data respecting the principal oil and gas assets of the Viking PartiesSolana, in each case as at the effective dates of such reports, reports and, in particular, all material information respecting the Viking Parties' interests of Solana in their its principal oil and gas assets and royalty burdens and net profits interest burdens thereon and such information was accurate and correct in all material respects as at the respective dates thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof and there has been no Material Adverse Change in any of the material information so provided since the date thereof.

Information to Independent Engineer. Viking and VHI have Gran Tierra has no reason to believe that (i) the report prepared by GLJ Gxxxxxx, Xxxxx & Associates, dated February 1015, 2005 2008, and effective as at December 31, 20042007, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Viking Gran Tierra in Colombia as of December 31, 2004 2007 (the "VIKING REPORT"); “Gran Tierra Colombia Reserve Report”) and (ii) the report prepared by GLJ Gxxxxxx, Xxxxx & Associates, dated February 2315, 2005 2008, and effective as at December 31, 20042007, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Calpine Natural Gas Trust (the "CNGT REPORT"); (iii) the report prepared by GLJ dated February 24, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Kensington Energy Inc. Gran Tierra in Argentina as of December 31, 2004 2007 (the "KENSINGTON REPORT"); (iv“Gran Tierra Argentina Reserve Report,” and together with the Gran Tierra Colombia Reserve Report, the “Gran Tierra Reserve Reports”) the report prepared by GLJ dated May 18and, 2005 and effective as at April 30, 2005 evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Krang Energy Inc. (the "KRANG REPORT"); and (v) if applicable, any updates to such reports or any other reserve evaluation reports which may be, or be deemed to be, included or incorporated by reference in the Viking Information CircularGran Tierra Joint Proxy Statement, whether in addition to or as a replacement for to the reports referred to in clauses (i) through (iv); was Gran Tierra Reserve Reports, were not accurate in all material respects as at the effective date of such report, reports and, except for any impact of changes in commodity prices, which may or may not be material, Viking and VHI have Gran Tierra has no knowledge of a Material Adverse Change in the production, costs, price, reserves, estimates of future net production revenues or other relevant information from that disclosed in that reportthose reports. Viking (or, to its knowledge, Calpine Natural Gas Trust, Kensington Energy Ltd. or Krang Energy Inc., as applicable) Gran Tierra has provided to GLJ Gxxxxxx, Xxxxx & Associates, all material information concerning land descriptions, well data, facilities and infrastructure, ownership and operations, future development plans and historical technical and operating data respecting the principal oil and gas assets of the Viking PartiesGran Tierra, in each case as at the effective dates of such reports, reports and, in particular, all material information respecting the Viking Parties' interests of Gran Tierra in their its principal oil and gas assets and royalty burdens and net profits interest burdens thereon and such information was accurate and correct in all material respects as at the respective dates thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof and there has been no Material Adverse Change in any of the material information so provided since the date thereof.

Information to Independent Engineer. Viking Harvest and VHI HOC have no reason to believe that (i) the report prepared by MxXxxxxx, GLJ and PLA (collectively, the "Independent Reserves Evaluators") dated February 10January 1, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to of the properties of Viking Operating Subsidiaries as of December 31, 2004 (the "VIKING REPORTHarvest Report"); (ii) the report prepared by GLJ Sxxxxxx Associates Limited dated February 23March 31, 2005 and effective as at December March 31, 20042005, evaluating the certain crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the certain properties of Calpine Natural Gas Trust Nexen Inc. acquired by Harvest (the "CNGT REPORT"); (iii) the report prepared by GLJ dated February 24, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Kensington Energy Inc. as of December 31, 2004 (the "KENSINGTON REPORT"); (iv) the report prepared by GLJ dated May 18, 2005 and effective as at April 30, 2005 evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Krang Energy Inc. (the "KRANG REPORTSxxxxxx Report"); and (viii) if applicable, any updates to such reports or any other reserve evaluation reports which may be, or be deemed to be, included or incorporated by reference in the Viking Harvest Information Circular, whether in addition to or as a replacement for the reports referred to in clauses (i) through (iviii); was not accurate in all material respects as at the effective date of such report, and, except for any impact of changes in commodity prices, which may or may not be material, Viking Harvest and VHI HOC have no knowledge of a Material Adverse Change in the production, costs, price, reserves, estimates of future net production revenues or other relevant information from that disclosed in that report. Viking Harvest (or, to its knowledge, Calpine Natural Gas Trust, Kensington Energy Ltd. or Krang Energy Nexen Inc., as applicable) has provided to GLJ each of the Independent Reserves Evaluators and Sxxxxxx all material information concerning land descriptions, well data, facilities and infrastructure, ownership and operations, future development plans and historical technical and operating data respecting the principal oil and gas assets of the Viking Harvest Parties, in each case as at the effective dates of such reports, and, in particular, all material information respecting the Viking Harvest Parties' interests in their principal oil and gas assets and royalty burdens and net profits interest burdens thereon and such information was accurate and correct in all material respects as at the respective dates thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof and there has been no Material Adverse Change in any of the material information so provided since the date thereof.

Viking (or, to its knowledge, Calpine Natural Gas Trust, Kensington Energy Ltd. or Krang Energy Inc., as applicable) has provided to GLJ all material information concerning land descriptions, well data, facilities and infrastructure, ownership and operations, future development plans and historical technical and operating data respecting the principal oil and gas assets of the Viking Parties, in each case as at the effective dates of such reports, and, in particular, all material information respecting the Viking Parties' interests in their principal oil and gas assets and royalty burdens and net profits interest burdens thereon and such information was accurate and correct in all material respects as at the respective dates thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof and there has been no Material Adverse Change in any of the material information so provided since the date thereof.

Viking and VHI have no reason to believe that (i) the report prepared by GLJ dated February 10The TargetCo Reserve Report and, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Viking as of December 31, 2004 (the "VIKING REPORT"); (ii) the report prepared by GLJ dated February 23, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Calpine Natural Gas Trust (the "CNGT REPORT"); (iii) the report prepared by GLJ dated February 24, 2005 and effective as at December 31, 2004, evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Kensington Energy Inc. as of December 31, 2004 (the "KENSINGTON REPORT"); (iv) the report prepared by GLJ dated May 18, 2005 and effective as at April 30, 2005 evaluating the crude oil, natural gas liquids and natural gas reserves and future net production revenues attributable to the properties of Krang Energy Inc. (the "KRANG REPORT"); and (v) if applicable, any updates to such reports report or any other reserve evaluation reports which may be, is or be is deemed to be, included or incorporated by reference in the Viking Information Circular, whether in addition to or as a replacement for to the reports referred to in clauses (i) through (iv); was not TargetCo Reserve Report, were an accurate and a reasonable estimate in all material respects as at the effective date dates of such report, reports and, except for any impact of changes in commodity pricesprices and as disclosed in section 4.1(q) of the Disclosure Letter, which may or may not be material, Viking and VHI have there has been no knowledge of a Material Adverse Change material adverse change in the production, costs, price, reserves, estimates of future net production revenues or other relevant information from that disclosed in that reportthose reports. Viking (or, to its knowledge, Calpine Natural Gas Trust, Kensington Energy Ltd. or Krang Energy Inc., as applicable) TargetCo has provided to GLJ all material information in its or its subsidiaries' possession concerning land descriptions, well data, facilities and infrastructure, ownership and operations, future development plans and historical technical and operating data respecting the principal oil and gas assets of the Viking PartiesTargetCo and its subsidiaries, in each case as at the effective dates of such reports, reports and, in particular, all material information respecting the Viking Parties' interests of TargetCo and its subsidiaries in their its principal oil and gas assets and royalty burdens and net profits interest burdens thereon thereon, and such information was accurate and correct in all material respects as at the respective dates thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof and there has been no Material Adverse Change material adverse change in any of the material information so provided since the date thereof. TargetCo has provided to AcquireCo all material information in its or its subsidiaries' possession respecting the interests of TargetCo and its subsidiaries in its principal oil and gas assets and royalty burdens and net profits interest burdens thereon, and such information was accurate and correct in all material respects as at the respective dates thereof and did not omit any information necessary to make any such information provided not misleading as at the respective dates thereof.
