Common use of Infringement Warranty Clause in Contracts

Infringement Warranty. A-S warrants that (a) None of the Products nor any of their elements, nor the use thereof, nor any of A-S manufacturing processes or methods employed or to be employed at the Product manufacturing facility violate or will violate or infringe upon the Intellectual Property Rights of any third party; and (b) there is neither pending nor threatened any claim, litigation or proceeding in any way contesting A-S’ suppliers’ rights to manufacture or supply any of the Products or attacking the validity or enforcement of any A-S or its suppliers’ Intellectual Property Rights related to its manufacturing processes or methods employed or to be employed at any Product manufacturing facility.
