Common use of Initial and special costs Clause in Contracts

Initial and special costs. The Borrower shall forthwith on demand pay the Bank the amount of all reasonable costs and expenses (including legal fees in a pre-agreed amount) incurred by the Bank in connection with: (a) the drafting, negotiation and closing of: (i) the Finance Documents and any other documents referred to in this Agreement; and (ii) any other Finance Document executed after the date of this Agreement; and (b) the examination of any future Project in respect of which an Equity Contribution is to be made; and (c) any amendment, waiver, consent or suspension of rights (or any proposal for any of the foregoing) requested by or on behalf of the Borrower and relating to a Finance Document or a document referred to in any Finance Document.

Initial and special costs. The Borrower shall forthwith on demand pay the Bank the amount of all reasonable costs and expenses (including legal fees in a pre-agreed amountfees) incurred by the Bank for the services of external advisers, in connection with: (a) the draftingreview of the Transaction Documents and any other agreements to which the Borrower is or becomes a party; (b) the negotiation, negotiation preparation, printing and closing execution of: (i) the Finance Documents this Agreement and any other documents referred to in this Agreement; and (ii) any other Finance Document executed after the date of this Agreement; and (b) the examination of any future Project in respect of which an Equity Contribution is to be made; and (c) any amendment, waiver, consent or suspension of rights (or any proposal for any of the foregoing) requested by or on behalf of the Borrower and relating to a Finance Transaction Document or a document referred to in any Finance Transaction Document; (d) any refinancing which the Borrower may seek to enter into.
