Initial Delivery and Payments. On the Initial Settlement Date, the Seller shall deliver the Initial Number of Shares to the Purchaser, upon payment by the Purchaser of an amount equal to the Purchase Price and payment pursuant to this Section 2.02 shall be effected in accordance with the Seller’s customary procedures.
