Common use of Injunctions; Illegality Clause in Contracts

Injunctions; Illegality. No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law or Order (whether temporary, preliminary or permanent) which is then in effect and has the effect of making the acquisition of Shares by Parent or Purchaser (or any Affiliate of either of them) or consummation of the Merger illegal or otherwise restricting, preventing or prohibiting consummation of the Transactions; and

No Governmental Entity court or Regulatory Agency of competent jurisdiction shall have enacted, issued, promulgated, enforced enforced, or entered any Law or Order (whether temporary, preliminary preliminary, or permanent) or taken any other action which is then in effect and has the effect of making the acquisition of Shares by Parent prohibits, restricts, or Purchaser (or any Affiliate of either of them) or makes illegal consummation of the Merger illegal Acquisition or otherwise restricting, preventing or prohibiting consummation of the Transactions; andother transactions contemplated by this Agreement.
