Common use of Injury Indemnity Clause in Contracts

Injury Indemnity. Licensee shall indemnify and defend PalmSource against all claims, suits, losses, expenses and liabilities (including PalmSource’s reasonable attorneys’ fees) for bodily injury, personal injury, death and tangible property damage made against PalmSource or its subsidiaries as a result of the Licensee Products. Licensee shall pay any settlements entered into by Licensee or damages awarded against PalmSource to the extent based on such a claim, provided that Licensee is promptly notified, rendered reasonable assistance by PalmSource as required, and permitted to direct the defense or settlement negotiations. Licensee shall be solely responsible for any claims, warranties or representations made by Licensee or its employees or agents which differ from the warranty provided by PalmSource hereunder.
