Insider Interests and Affiliate Transactions. There are no (i) suppliers or customers of the Business in which a stockholder holding 5% or more of any class of securities of Axys or a director, officer or management employee of Axys or the Company holds, directly or indirectly, a significant ownership or other interest, (ii) intercompany liabilities or obligations between the Company, on the one hand and, Axys or any of its Affiliates, on the other hand, that are not eliminated in the Company's consolidated financial reporting or (iii) other material business relationships between the Company, on the one hand, and any current or former stockholder, director, officer or employee, on the other hand, other than in such Person's capacity as a stockholder, director, officer or employee in the ordinary course of business.

  • Employee Loans and Affiliate Transactions (a) Other than a Permitted Sale-Leaseback, no Credit Party shall enter into or be a party to any transaction with any other Credit Party or any Affiliate thereof except in the ordinary course of and pursuant to the reasonable requirements of such Credit Party’s business and upon fair and reasonable terms that are no less favorable to such Credit Party than would be obtained in a comparable arm’s length transaction with a Person not an Affiliate of such Credit Party.
