Common use of Inspection and Observation Clause in Contracts

Inspection and Observation. The Company shall permit each Purchaser or any authorized representative of a Purchaser, to visit and inspect the properties of the Company and each Subsidiary, including its corporate and financial records, and to discuss its business and finances with officers of the Company, during normal business hours following reasonable notice, without interference to the conduct of the Company's or any Subsidiary's business and as often as may be reasonably requested.

Inspection and Observation. The Company shall -------------------------- permit each Purchaser Purchaser, or any authorized representative of a Purchaserthereof, to visit and inspect the properties of the Company and each SubsidiaryCompany, including its corporate and financial records, and to discuss its business and finances with executive officers of the Company, during normal business hours following reasonable notice, without interference to but no more than once per month for all Purchasers in the conduct of the Company's or any Subsidiary's business and as often as may be reasonably requestedaggregate.

Inspection and Observation. The Company shall permit each Major Purchaser or any authorized representative of a Purchaserthereof, to visit and inspect the properties of the Company and each SubsidiaryCompany, including its corporate and financial records, and to discuss its business and finances with officers of the Company, during normal business hours following reasonable notice, without interference to the conduct of the Company's or any Subsidiary's business and as often as may be reasonably requested.

(a) The Company shall permit each Purchaser Purchaser, or any authorized representative of a Purchaserthereof, to visit and inspect the properties of the Company and each SubsidiaryCompany, including its corporate and financial records, and to discuss its business and finances with officers of the Company, during normal business hours following reasonable notice, without interference to the conduct of the Company's or any Subsidiary's business notice and as often as may be reasonably requested. (b) The Company will permit each holder who holds, together with its Affiliates (as defined in Section 11), not less than 500,000 Shares (including shares of Common

The Company shall permit each Purchaser and Vertex, or any authorized representative of a Purchaserthereof, to visit and inspect the properties of the Company and each SubsidiaryCompany, including its corporate and financial records, and to discuss its business and finances with officers of the Company, during normal business hours following reasonable notice, without interference to the conduct of the Company's or any Subsidiary's business notice and as often as may be reasonably requested, provided that such Purchaser, or authorized representative thereof, is not employed by or associated with a competitor of the Company.
