Common use of Inspection Clause in Contracts

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by convenient to the Major Company and such Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.1 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential informationinformation until the Major Investor signs a confidentiality agreement in a form reasonably acceptable to the Company.

The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major InvestorInvestor (except for a Major Investor reasonably deemed by the Company to be a competitor of the Company), at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major Investor, at such Major ---------- Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, the Investor at such Major Investor’s expense, 's expense to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested in writing by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 7.2 to provide access to any information that which it reasonably considers to be a trade secret secret, proprietary information or similar other confidential information.

Inspection. The Company shall permit each Major Investor, at such Major ---------- Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information; provided, further, that this right of inspection shall not extend to a Competitor.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major such Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.3 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major ---------- Investor’s 's expense, as the case may be, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major InvestorInvestor (provided that such Major Investor is not a Competitor of the Company), at such Major Investor’s expense, to visit and inspect the Company’s properties, to ; examine its books of account and records records; and to discuss the Company’s affairs, finances finances, and accounts with its officers, all at such reasonable times during normal business hours of the Company as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential informationwould adversely affect the attorney-client privilege between the Company and its counsel.

Inspection. The Company shall permit each Major Investor, Investor at such Major ---------- Investor’s expense, 's expense to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall shall, upon reasonable prior notice, permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers upon advice of counsel to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar proprietary confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 2.3 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times during normal business hours as may be requested by the Major InvestorInvestor with reasonable advance notice; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or other similar highly confidential informationinformation (unless covered by a confidentiality agreement in a form reasonably acceptable to the Company).

Inspection. The Company shall permit each Major Investor, at such Major ---------- Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated -------- ------- pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential other proprietary intellectual property information, unless the Investor has agreed to maintain such information in confidence.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times during normal business hours of the Company as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that it reasonably and in good faith considers to be a trade secret or similar confidential informationthe disclosure of which would adversely affect the attorney-client privilege between the Company and its counsel.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by by' the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 8.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential or proprietary information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 2.1 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major InvestorInvestor (except for a Major Investor reasonably deemed by the Company to be a competitor of the Company), at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times during normal business hours as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers deems in good faith to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s or any of its subsidiaries’ properties, to examine its books of account and records and to discuss the Company’s any of its subsidiaries’ affairs, finances and accounts with its executive officers, and to review such information as is reasonably requested all at such reasonable times and as often as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential informationInvestor(s).

Inspection. The Company shall permit each Major InvestorInvestor (as defined below in section 2.3), at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s and any of its subsidiaries’ properties, to examine its their books of account and records and to discuss the Company’s and any of its subsidiaries’ affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major InvestorInvestors; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential informationsecret.

Inspection. The Company shall permit each Major Investor, at such Major ---------- Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information, unless such Major Investor enters into a confidentiality agreement in form and substance satisfactory to the Company.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, reasonable access to allow such Major Investor to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 4.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers considers, after consultation with legal counsel, to be a trade secret or similar confidential information.

Inspection. The Subject to Section 2.3, the Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major the Investor at the Investor, at such Major Investor’s expense, 's expense to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; providedPROVIDED, howeverHOWEVER, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, expense and upon reasonable notice given to the Company to visit and inspect the Company’s properties, to examine its books of account and other records (and make copies and take extracts therefrom), and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times and during normal working hours as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records (but not more than once in any six (6)-month period) and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, Investor at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all upon reasonable advance notice and at such reasonable times as may be requested by the such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and Board minutes and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 2.3 to provide access to any information that it reasonably considers the Board determines in good faith to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 8.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential or proprietary information.

The Company shall permit each Major Investor, ---------- at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret secret, confidential or similar confidential informationof a nature providing a competitive advantage.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 2.3 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information; provided, further, that the Investors coordinate their visitations and inspections so as to minimize the disruptions and interruptions to the Company.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine and make copies of its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to ; examine its books of account and records records; and to discuss the Company’s affairs, finances finances, and accounts with its officers, all at such reasonable times during normal business hours of the Company as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential informationthe disclosure of which would adversely affect the attorney-client privilege between the Company and its counsel.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information, or that could adversely affect the attorney-client privilege between the Company and its counsel.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, and on such Major Investor’s written request, to visit and inspect the Company’s properties, to ; examine its books of account and records records; and to discuss the Company’s affairs, finances finances, and accounts with its officers, all at such reasonable times during normal business hours of the Company as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.Section 2.1.1

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential informationinformation or the disclosure of which would adversely affect the attorney-client privilege between the Company and its counsel.

Inspection. The Company shall permit each Major Investor, at ---------- such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 8.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by convenient to the Company and such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major ---------- Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall will permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, employees and independent accountants all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall will not be obligated pursuant to this Section SECTION 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 7.3 to provide access to any information that it which the Board of Directors reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major InvestorInvestor (except for a Major Investor reasonably deemed by the Company to be a Competitor of the Company), at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major InvestorHolder’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be the Board deems, in good faith, is a trade secret or similar confidential informationinformation and should not be disclosed due to the potential harm to the Company.

Inspection. The Company shall permit each Major Investor, as defined in Section 2.4 below, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that that, other than to Newco, the Company shall not be obligated pursuant to this Section 2.2 to provide access to any Major Investor to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, upon reasonable notice from such Major Investor and at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably the Board in good faith considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, Investor at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 15 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officersofficers and outside accountants, all at such reasonable times as may be requested by the such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times times, and upon not less than five (5) business days prior notice, as may be requested by convenient to the Company and such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investorthe Investors, at such Major Investor’s Investors' expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major InvestorInvestors; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information, unless the Investors sign a confidentiality agreement regarding such information in form and substance reasonably acceptable to the Company.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to ; examine its books of account and records records; and to discuss the Company’s affairs, finances finances, and accounts with its officers, all at such reasonable times during normal business hours of the Company as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 Subsection 3.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information, the disclosure of which would adversely affect the attorney-client privilege between the Company and its counsel.

Inspection. The Company shall permit each Major Investor, Investor at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major InvestorInvestor (as defined in Section 2.1(b)), at such Major InvestorHolder’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records records, and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, provided that the Company shall not be obligated pursuant to this Section 2.2 2.03(b) to provide access to any information that it reasonably considers to be a trade secret or similar confidential information, nor to provide any such information in the absence of a confidentiality agreement under reasonable terms.

Inspection. The Company shall permit each Major Investor, at ---------- such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.its

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine and make copies of its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 (Inspection) to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.4 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 2.4 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 8.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 2..2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, as defined in Section 2.3 below, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.3 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major the Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the such Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 3.3 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 2.3 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major ---------- Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, . that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investorthe Investor from time to time, at such Major the Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 8.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense's expense and during regular working hours, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 subsection 10.4 to provide access to an assignee of Investor to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records records, and to discuss the Company’s affairs, finances finances, and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor and such Major Investor’s accountants and counsel, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential information. Each such Major Investor shall have such other access to management and information as is reasonably necessary for it to comply with applicable laws and regulations and reporting obligations.

Inspection. The Company shall permit each Major InvestorInvestor Holder, at such Major Investor’s ---------- Investor Holder's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investorsuch Investor Holder; provided, however, that the Company shall not -------- ------- be obligated pursuant to this Section 2.2 11.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that which it reasonably considers to be a trade secret or similar confidential information. The inspection privileges set forth in this Section 2.2 shall not be assignable.

Inspection. The Company shall permit each Major InvestorInvestor and its agents, at such Major Investor’s expense, to visit and inspect the Company’s properties, to ; examine its books of account and records records; and to discuss the Company’s affairs, finances finances, and accounts with its officers, all at such reasonable times during normal business hours of the Company as may be reasonably requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential informationthe disclosure of which would adversely affect the attorney-client privilege between the Company and its counsel.

Inspection. The Company shall permit each Major Qualified Investor, at such Major Qualified Investor’s 's expense, to visit and inspect the Company’s 's properties, to examine its books of account and records and to discuss the Company’s 's affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential other proprietary intellectual property information, unless the Investor has agreed to maintain such information in confidence.

Inspection. The Company shall permit each Major Investor, at such Major Investor’s expense, Investor to visit and inspect the Company’s properties, to examine its books of account and records and to discuss the Company’s affairs, finances and accounts with its officers, all at such reasonable times as may be requested by the Major Investor; provided, however, that the Company shall not be obligated pursuant to this Section 2.2 to provide access to any information that it reasonably considers to be a trade secret or similar confidential informationinformation or the disclosure of which could violate applicable antitrust laws. Any costs associated with the exercise of such inspection rights shall be borne by the Company.
