Common use of Inspections and Tests at Seller’s Facilities Clause in Contracts

Inspections and Tests at Seller’s Facilities. Upon the submission of reasonable advance notice, the Buyer and/or its representative shall be provided access to the Seller’s facilities during normal business hours to obtain information on production progress and to make inspections of manufacture, assembly and testing of the Equipment. Such access shall be limited to areas relating to the manufacture, assembly and testing of the Equipment and shall be subject to the Seller’s reasonable safety precautions; provided however, that if work of a proprietary nature is being conducted in any such area, the Seller shall limit the extent of the area or areas affected by such work to the maximum extent possible and shall use all commercially reasonable efforts to provide the Buyer with full access to such areas.
