Inspections and Tests. 26.1 The Supplier shall at its own expense and at no cost to the Procuring Entity carry out all such tests and/or inspections of the Goods and Related Services as are specified in the SCC. 26.2 The inspections and tests may be conducted on the premises of the Supplier or its Subcontractor, at point of delivery, and/or at the Goods' final destination, or in another place in Kenya as specified in the SCC. Subject to GCC Sub-Clause 26.3, if conducted on the premises of the Supplier or its Subcontractor, all reasonable facilities and assistance, including access to drawings and production data, shall be furnished to the inspectors at no charge to the Procuring Entity. 26.3 The Procuring Entity or its designated representative shall be entitled to attend the tests and/or inspections referred to in GCC Sub-Clause 26.2, provided that the Procuring Entity bear all of its own costs and expenses incurred in connection with such attendance including, but not limited to, all travelling and board and lodging expenses. 26.4 Whenever the Supplier is ready to carry out any such test and inspection, it shall give a reasonable advance notice, including the place and time, to the Procuring Entity. The Supplier shall obtain from any relevant third party or manufacturer any necessary permission or consent to enable the Procuring Entity or its designated representative to attend the test and/or inspection. 26.5 The Procuring Entity may require the Supplier to carry out any test and/or inspection not required by the Contract but deemed necessary to verify that the characteristics and performance of the Goods comply with the technical specifications codes and standards under the Contract, provided that the Supplier's reasonable costs and expenses incurred in the carrying out of such test and/or inspection shall be added to the Contract Price. Further, if such test and/or inspection impedes the progress of manufacturing and/or the Supplier's performance of its other obligations under the Contract, due allowance will be made in respect of the Delivery Dates and Completion Dates and the other obligations so affected. 26.6 The Supplier shall provide the Procuring Entity with a report of the results of any such test and/or inspection. 26.7 The Procuring Entity may reject any Goods or any part thereof that fail to pass any test and/or inspection or do not conform to the specifications. The Supplier shall either rectify or replace such rejected Goods or parts thereof or make alterations necessary to meet the specifications at no cost to the Procuring Entity, and shall repeat the test and/or inspection, at no cost to the Procuring Entity, upon giving a notice pursuant to GCC Sub- Clause 26.4. 26.8 The Supplier agrees that neither the execution of a test and/or inspection of the Goods or any part thereof, nor the attendance by the Procuring Entity or its representative, nor the issue of any report pursuant to GCC Sub-Clause 26.6, shall release the Supplier from any warranties or other obligations under the Contract.

Inspections and Tests. 26.1 (i) The Supplier shall at supplier will keep the Purchaser informed in advance of the time of the starting and the progress of manufacture of equipment in its own expense and at no cost various stages so that arrangement could be made for inspection. 26.3 (ii) The Procuring Entity DISCOM may at its option get the materials inspected by the third party if it feels necessary and all inspection charges in this connection will be borne by the supplier.
(iii) The dispatches will be affected only if the test results comply with the specification. The dispatches will be made only after the inspection by the DISCOM Officer is completed to the DISCOM satisfaction or its designated representative shall be entitled to attend such inspection is waived by the tests and/or inspections referred to competent authority.

26.7 The Procuring Entity may reject any Goods inspected or any part thereof that tested materials / equipment fail to pass any test and/or inspection or do not conform to the specifications. The Supplier shall specification, the Purchaser may reject the materials and supplier will either rectify or replace such the rejected Goods or parts thereof materials or make alterations necessary to meet the specifications at no cost requirements free of costs to the Procuring Entity, and shall repeat the test and/or inspection, at no cost to the Procuring Entity, upon giving a notice pursuant to GCC Sub- Clause 26.4Purchaser.
26.8 The Supplier agrees that neither (vii) In the execution case of transformers, instrument transformers and meters inspection will be conducted every year, for the first 5 years on a test and/or inspection 2% sample of the Goods quantities supplied. 26.8 4.3.4 The Supplier agrees that neither Employer's right to inspect, test and, where necessary, reject the execution of a test and/or inspection Goods after the arrival at Site shall in no way be limited or waived by reason of the Goods or any part thereofhaving previously been inspected, nor the attendance tested and passed by the Procuring Entity Employer or its representativeRepresentative prior to the Goods shipment.
4.3.5 If required, nor the issue contractor shall arrange carrying out of any report pursuant to GCC Sub-Clause 26.6, shall release the Supplier from any warranties or other obligations all tests required under the Contractagreement through the laboratory as approved by the Engineer-in-Charge and shall bear all charges in connection therewith including fee for testing. The said cost of tests shall be borne by the Contractor.
4.3.6 The contractor shall procure all the materials at least in advance so that there is sufficient time to testing and approving of the materials and clearance of the same before use in work.
4.3.7 All materials brought by the contractor for use in the work shall be got checked from the Engineer-in-Charge or his authorized representative of the work on receipt of the same at site before use.
4.3.8 Copies of all documents like routine and type test certificate of the installation /equipment / tests carried out at manufacturers premises shall be furnished as required.
4.3.9 The contractor shall be fully responsible for the safe custody of the materials/works.

26.3 The Procuring Entity or its designated representative shall be entitled to attend the tests and/or inspections referred to in GCC Sub-Clause 26.2, provided that the Procuring Entity bear all of its own costs and expenses incurred in connection with such attendance including, but not limited to, all travelling and board and lodging expenses.
26.4 Whenever the Supplier is ready to carry out any such test and inspection, it shall give a givea reasonable advance notice, including the place and time, to the Procuring Entity. The Supplier shall obtain from any relevant third party or manufacturer any necessary permission or consent to enable the Procuring Entity or its designated representative to attend the test and/or inspection.
26.5 The Procuring Entity may require the Supplier to carry out any test and/or inspection not required by the Contract but deemed necessary to verify that the characteristics and performance of the Goods comply with the technical specifications codes and standards under the Contract, provided that the Supplier's reasonable costs and expenses andexpenses incurred in the carrying out of such test and/or inspection shall be added to the tothe Contract Price. Further, if such test and/or inspection impedes the progress of manufacturing and/or the Supplier's performance of its other obligations under the Contract, due allowance will be made in respect of the Delivery Dates and Completion Dates and the other obligations so affected.
26.6 The Supplier shall provide the Procuring Entity with a report of the results of any such test and/or inspection.
26.7 The Procuring Entity may reject any Goods or any part thereof that fail to pass any test and/or inspection or do not conform to the specifications. The Supplier shall either rectify or replace such rejected Goods or parts thereof or make alterations necessary to meet the specifications at no cost to the Procuring Entity, and shall repeat the test and/or inspection, at no cost to the Procuring Entity, upon giving a givinga notice pursuant to GCC Sub- Clause 26.4.

26.8 4.3.4 The Supplier agrees that neither Employer's right to inspect, test and, where necessary, reject the execution of a test and/or inspection Goods after the arrival at Site shall in no way be limited or waived by reason of the Goods or any part thereofhaving previously been inspected, nor the attendance tested and passed by the Procuring Entity Employer or its representativeRepresentative prior to the Goods shipment.
4.3.5 If required, nor the issue contractor shall arrange carrying out of any report pursuant to GCC Sub-Clause 26.6, shall release the Supplier from any warranties or other obligations all tests required under the Contractagreement through the laboratory as approved by the Engineer-in-Charge and shall bear all charges in connection therewith including fee for testing. The said cost of tests shall be borne by the Contractor.
4.3.6 The contractor shall procure all the materials at least in advance so that there is sufficient time to testing and approving of the materials and clearance of the same before use in work.
4.3.7 All materials brought by the contractor for use in the work shall be got checked from the Engineer- in-Charge or his authorized representative of the work on receipt of the same at site before use.
4.3.8 Copies of all documents like routine and type test certificate of the installation /equipment / tests carried out at manufacturers premises shall be furnished as required.
4.3.9 The contractor shall be fully responsible for the safe custody of the materials/works.

26.5 The Procuring Entity may require the Supplier to carry out any test and/or inspection not required by the Contract but deemed necessary to verify that the characteristics and performance of performanceof the Goods comply with the technical specifications codes and standards under the Contract, provided that the Supplier's reasonable costs and expenses incurred in the carrying out of such test and/or inspection shall be added to the Contract Price. Further, if such test and/or inspection impedes the progress of manufacturing and/or the Supplier's performance of its other obligations under the Contract, due allowance will be made in respect of the Delivery Dates and Completion Dates and the other obligations so affected.
26.6 The Supplier shall provide the Procuring Entity with a report of the results of any such test and/or inspectionand/orinspection.
26.7 The Procuring Entity may reject any Goods or any part thereof that fail to pass any test and/or inspection or do not conform to the specifications. 26.5 The Procuring Entity agency may require the Supplier to carry out any test and/or inspection not required by the Contract but deemed necessary to verify that the characteristics and performance of the Goods comply with the technical specifications specifications, codes and standards under the Contract, provided that the Supplier's ’s reasonable costs and expenses incurred in the carrying out of such test and/or inspection shall be added to the Contract Price. Further, if such test and/or inspection impedes the progress of manufacturing and/or the Supplier's ’s performance of its other obligations under the Contract, due allowance will be made in respect of the Delivery Dates and Completion Dates and the other obligations so affected.

Inspections and Tests. 26.1 The Supplier Landlord agrees that Tenant’s ability to use the Premises is contingent upon its suitability for Tenant’s intended use. Tenant shall have a period of sixty (60) days from the Commencement Date (the “Due Diligence Period”) to conduct any title research on the Property and to enter the Premises for the purpose of making necessary inspections, taking measurements and conducting engineering surveys and other reasonably necessary tests (the “Tests”) to determine the suitability of the Premises for the Communication Facility (the “Due Diligence”). Notwithstanding the foregoing, Tenant shall not conduct subsurface inspections or investigations unless Landlord has approved such tests, which approval may be denied in Landlord’s sole discretion. Tenant shall submit a written scope of work to Landlord detailing the work to be done and the portion of the Premises to be affected by such work and containing such other matters as Landlord shall reasonably request. During any Due Diligence activities or pre- construction work, Tenant shall have insurance which covers such activities as set forth in Section 11, Insurance, and provide Landlord with copies of such insurance prior to entering the Premises. Tenant will notify Landlord of any tests in writing at least forty-eight (48) hours prior to performing the same, and will coordinate the scheduling of such activities with Landlord. If in the course of its own expense and at no cost Due Diligence Tenant determines that the Premises are unsuitable for Tenant’s contemplated use, Tenant shall have the right to terminate this Lease prior to the Procuring Entity carry out all such tests and/or inspections expiration of the Goods Due Diligence Period by delivery of written notice thereof to Landlord, without the payment of a Termination Fee. Tenant will defend, indemnify, and Related Services hold harmless Landlord against all costs (including reasonable attorneys’ fees), claims, damages and liabilities arising as are specified in the SCC.
26.2 The inspections and tests may be conducted on the premises a result of the Supplier negligence or willful misconduct of Tenant or its Subcontractoragents, at point of deliveryemployees, and/or at the Goods' final destinationrepresentatives, contractors or invitees, or in another place in Kenya as specified in the SCC. Subject to GCC Sub-Clause 26.3, if conducted on the premises from Tenant’s exercise of the Supplier or its Subcontractor, all reasonable facilities and assistance, including access rights granted herein. If Tenant fails to drawings and production data, shall be furnished object to the inspectors at title to or condition of the Premises by the expiration of the Due Diligence Period, Tenant shall thereafter have no charge right to terminate the Lease for the condition of the Premises or the title to the Procuring Entity.
26.3 The Procuring Entity or its designated representative shall be entitled to attend Property as the tests and/or inspections referred to in GCC Sub-Clause 26.2, provided that the Procuring Entity bear all of its own costs and expenses incurred in connection with such attendance including, but not limited to, all travelling and board and lodging expenses.

Inspections and Tests. 26.1 3.6.1 The Supplier Purchaser or its representative shall at its own expense and at no cost have the right (if so desire) to test the goods to ascertain their conformity to the Procuring Entity carry out all such tests and/or inspections specifications. 26.5 The Procuring Entity may require the Supplier to carry out any test and/or inspection not required by the Contract but deemed necessary to verify that the characteristics time of starting of manufacture and performance of the Goods comply with the technical specifications codes and standards under the Contract, provided that the Supplier's reasonable costs and expenses incurred in the carrying out of such test and/or inspection shall be added to the Contract Price. Further, if such test and/or inspection impedes the progress of manufacturing and/or manufacture of the Supplier's performance of its other obligations under the Contract, due allowance will equipments offered by him so that arrangements can be made in respect of for inspection at the Delivery Dates and Completion Dates and premises, if so desired by the other obligations so affectedpurchaser.
26.6 The Supplier shall provide the Procuring Entity with a report of the results of 3.6.3 Should any such test and/or inspection.
26.7 The Procuring Entity may reject any inspected or tested Goods or any part thereof that fail to pass any test and/or inspection or do not conform to the specifications. The Specifications, the Purchaser may reject them, and the Supplier shall either rectify or replace such the rejected Goods or parts thereof goods or make all alterations necessary to meet specification requirements to the Purchaser.
3.6.4 If the Purchaser decides to conduct the inspection at supplier's premises as per clause 3.6.1 to 3.6.3, no material being furnished against this specification shall be dispatched until inspected and approved by the Purchaser/ or his representative. Such inspection and approval will not relieve the Contractor of full responsibility for furnishing equipment conforming to the specifications at no cost nor will it prejudice any claim, right or privilege which the Purchaser may have on account of any loss sustained by it due to defective or unsatisfactory equipment supplied by the Procuring Entitycontractor. Should the inspection be waived off by the Purchaser, and such waiver shall repeat not relieve the test and/or inspection, at no cost to the Procuring Entity, upon giving a notice pursuant to GCC Sub- Clause 26.4contractor in any way from his contractual obligations.
26.8 3.6.5 The Supplier agrees that neither the execution of a test and/or inspection sample of the Goods or any part thereofproposed Equipment, nor the attendance if desired by the Procuring Entity or its representativepurchaser, nor to be supplied for approval/testing.
3.6.6 Bidder has to provide the issue of any report pursuant to GCC Sub-Clause 26.6, shall release required drivers etc. if essentially required for the Supplier from any warranties or other obligations under the Contractquoted equipment/peripherals being supplied.

Inspections and Tests. (c) furnishing of a detailed operations and maintenance manual for each appropriate unit of the supplied Goods;
(d) performance or supervision or maintenance and/or repair of the supplied Goods, for a period of time agreed by the parties, provided that this service shall not relieve the Supplier of any warranty obligations under this Contract; and
(e) training of the Purchaser’s personnel, at the Supplier’s plant and/or on-site, in assembly, start-up, operation, maintenance, and/or repair of the supplied Goods.
25.3 Prices charged by the Supplier for incidental services, if not included in the Contract Price for the Goods, shall be agreed upon in advance by the parties and shall not exceed the prevailing rates charged to other parties by the Supplier for similar services
26.1 The Supplier shall at its own expense and at no cost to the Procuring Entity Purchaser carry out all such tests and/or inspections of the Goods and Related Services as are specified in the SCC.
26.2 The inspections and tests may be conducted on the premises of the Supplier or its Subcontractor, at point of delivery, and/or at the Goods' ’ final destination, or in another place in Kenya the Purchaser’s Country as specified in the SCC. Subject to GCC Sub-Clause 26.3, if conducted on the premises of the Supplier or its Subcontractor, all reasonable facilities and assistance, including access to drawings and production data, shall be furnished to the inspectors at no charge to the Procuring EntityPurchaser.
26.3 The Procuring Entity Purchaser or its designated representative shall be entitled to attend the tests and/or inspections referred to in GCC Sub-Sub- Clause 26.2, provided that the Procuring Entity Purchaser bear all of its own costs and expenses incurred in connection with such attendance including, but not limited to, all travelling traveling and board and lodging expenses.
26.4 Whenever the Supplier is ready to carry out any such test and inspection, it shall give a reasonable advance notice, including the place and time, to the Procuring EntityPurchaser. The Supplier shall obtain from any relevant third party or manufacturer any necessary permission or consent to enable the Procuring Entity Purchaser or its designated representative to attend the test and/or inspection.
26.5 The Procuring Entity Purchaser may require the Supplier to carry out any test and/or inspection not required by the Contract but deemed necessary to verify that the characteristics and performance of the Goods comply with the technical specifications codes and standards under the Contract, provided that the Supplier's reasonable costs and expenses incurred in the carrying out ’s Section B. Special Conditions of such test and/or inspection shall be added to the Contract Price. Further, if such test and/or inspection impedes the progress of manufacturing and/or the Supplier's performance of its other obligations under the Contract, due allowance will be made in respect of the Delivery Dates and Completion Dates and the other obligations so affected.
26.6 The Supplier shall provide the Procuring Entity with a report of the results of any such test and/or inspection.
26.7 The Procuring Entity may reject any Goods or any part thereof that fail to pass any test and/or inspection or do not conform to the specifications. The Supplier shall either rectify or replace such rejected Goods or parts thereof or make alterations necessary to meet the specifications at no cost to the Procuring Entity, and shall repeat the test and/or inspection, at no cost to the Procuring Entity, upon giving a notice pursuant to GCC Sub- Clause 26.4.
26.8 The Supplier agrees that neither the execution of a test and/or inspection of the Goods or any part thereof, nor the attendance by the Procuring Entity or its representative, nor the issue of any report pursuant to GCC Sub-Clause 26.6, shall release the Supplier from any warranties or other obligations under the Contract.
