Inspections and Visits. 3.12.1 The Tenant promises the Landlord that the Tenant will permit the Landlord, a Superior Landlord if any, or the Landlord’s Agent or the Superior Landlord’s Agent, with or without ▇▇▇▇▇▇▇ to visit, inspect, repair and maintain the Property during reasonable hours provided they have given reasonable formal notice at least 24 hours written notice in advance of the proposed visit. It is agreed that such notice is not to be necessary if there is an emergency at the Property. 3.12.2 After such a visit to the Property the Landlord or the Landlord’s Agent may give the Tenant a written statement of any damage, cleaning, defects or other alleged breaches of this Agreement by the Tenant so that the Tenant has an opportunity to make good the matters contained in the written statement during such reasonable time frame as may be agreed between the Landlord and the Tenant. In the absence of agreement, and of exceptional circumstances, that time frame will be 14 days. 3.12.3 Following such reasonable time for making good the matters contained in the written statement, a further visit may be made to the Property by the Landlord or the Superior Landlord if any, or the Landlord’s Agent or the Superior Landlord’s Agent. 3.12.4 If the Tenant fails to make good the matters contained in the written statement within a reasonable time (and no reasonable explanation can be given) the Tenant will permit the Landlord, the Landlord’s Agents or ▇▇▇▇▇▇▇ employed by the Landlord access to visit the Property by appointment and at reasonable times to make good the matters contained in the written statement. 3.12.5 Subject to the existence of any legitimate dispute between the Landlord and the Tenant, the Tenant will pay to the Landlord the reasonable costs incurred by the Landlord within reasonable time of production by the Landlord of itemised bills for the making good of the matters contained in the written statement.
Inspections and Visits. 10.1 To enable each party to observe the production of the Products by the other, to facilitate the delivery of Technology, and to enable each Party to monitor the quality of the Products sold under TWI Licensed Trademarks, each party shall permit the other, at the other party's expense and at reasonable times and intervals, to inspect pertinent sections of the manufacturing facilities and warehouses where the Products are manufactured and stored. 10.2 As far as reasonably possible, information obtained as a result of such visits shall be treated as confidential information under Article VII hereof. Inspections and Visits. (a) Upon no less than ten (10) Business Daysnotice to Seller, Seller shall use commercially reasonable efforts to obtain the consent of the Manager to ensure that Purchaser and its representatives, at reasonable times and at Purchaser’s sole risk and expense, shall have the right to access the Properties, the Facilities, in each case, to monitor the mining and processing operations on the Project and to permit a qualified person to complete a personal inspection of the Project in connection with the preparation on behalf of Purchaser of any technical report in accordance with NI 43-101 or other reputable mineral disclosure regime or any audit, accounting, tax or similar purpose pertaining to the corporate obligations of Purchaser. Purchaser may avail itself of such right of access a maximum of once per calendar quarter, and except where additional access is requested by Purchaser in order to prepare a technical report in accordance with NI 43-101. (b) Seller shall grant to Purchaser and its investors and representatives, at reasonable times and at Purchaser’s sole risk and expense, the right to visit the Properties and the Facilities. Purchaser may avail itself of such right of access a maximum of one day per calendar quarter, unless otherwise agreed. (c) ▇▇▇▇▇▇▇▇▇ agrees that any visits and inspections contemplated in Sections 6.1(a), 6.3(a) or 6.3(b) shall be subject to supervision of Manager and the safety and workplace rules, policies and procedures of ▇▇▇▇ ▇▇▇▇▇▇ JV. Purchaser and its representatives and agents shall diligently complete such inspection or visit, as the case may be.
Inspections and Visits. 5.1 Formal inspection visits by a member of the University of Glasgow SEPS to either individuals or to the department as a whole will take place after liaising with the NHSGGC Health and Safety Service. 5.2 NHSGGC will inform the University of Glasgow of details of any impending visits by the enforcing authorities / agencies to University Departments. The University shall also inform NHSGGC of visits from external agencies. Attendance by NHSGGC and University representatives during these visits should be agreed as necessary. Results of such visits will be communicated between both organisations as soon as possible.
Inspections and Visits. Ocugen or its duly designated representative will have the right, upon at least [***] prior written notice without cause, to have [***] Ocugen employees or representatives, during normal business hours, at Ocugen’s cost, to (i) observe the Manufacturing of the Clinical Trial Materials, Product, COVAXINTM Drug Substance or Drug Product Components, as applicable, at the Facility; (ii) review the Records; and (iii) otherwise inspect the relevant portions of the Facility during the performance of the Services.
