Common use of Instructions to the Owner Trustee and Indenture Trustee Clause in Contracts

Instructions to the Owner Trustee and Indenture Trustee. Subject to the terms and conditions of this Agreement, the Owner Trustee, upon its receipt in full of the Owner Participant's and the Original Loan Participant's Commitment for the Aircraft, as provided in Section 2 hereof, together with written instructions from such Participant or its special counsel to release such funds to Lessee, shall transfer such funds to Lessee and the Owner Trustee shall purchase the Aircraft from Lessee and lease the Aircraft to Lessee and such action shall constitute, without further act, authorization and direction by the Owner Participant to the Owner Trustee: (a) to pay to Lessee (on behalf of the Owner Trustee) the Lessor's Cost in the manner set forth in Section 2; (b) to the extent not previously accomplished by a prior authorization, to authorize a representative or representatives of the Owner Trustee (who shall be an employee or employees, or an agent or agents, of Lessee designated by Lessee) to accept delivery of the Aircraft on the Delivery Date; (c) to accept from Lessee the Lessee Warranty Bill xx Sale and the Lessee FAA Bill xx Sale and the invoice with respect to the Aircraft; (d) to execute an aircraft registration application, a Lease Supplement and a Trust Supplement, in each case covering the Aircraft; (e) to borrow the Loan from the Holders to finance a portion of Lessor's Cost and to issue to the Original Loan Participant a Series SWA 1995 Trust N396SW-I Certificate in a principal amount equal to the amount borrowed pursuant to the Trust Indenture; and (f) to take such other action as may be required to be taken by the Owner Trustee on the Delivery Date by the terms of any Operative Agreement.
