Instrument Legend. Any instrument evidencing any of the Indebtedness, or any portion thereof, will, on the date hereof or promptly hereafter, be inscribed with a legend conspicuously indicating that payment thereof is subordinated to the claims of the Investors, pursuant to the terms of this Agreement, and will be delivered to the Investors upon request therefor, if such original is necessary in order to enable the Investors to take any action permitted hereunder, including, without limitation, the filing of proofs of claim on behalf of Subordinated Creditor.
Instrument Legend. Any instrument evidencing any of the ----------------- Subordinated Debt (including, without limitation, the Subordinated Note), or any portion thereof, will, on the date hereof, be inscribed with a legend conspicuously indicating that payment thereof is subordinated to the claims of the Senior Creditor pursuant to the terms of this Agreement, and a copy thereof will be delivered to the Senior Creditor on the date hereof. Any instrument evidencing any of the Subordinated Debt, or any portion thereof, which is hereafter executed by Issuer, will, on the date thereof, be inscribed with the aforesaid legend and a copy thereof will be delivered to the Senior Creditor on the date of its execution or within five (5) business days thereafter.
Instrument Legend. Any instrument evidencing any of the Subordinate Indebtedness shall, on the date hereof, be inscribed with a legend conspicuously indicating that payment thereof is subordinated to the claims of Senior Lender pursuant to the terms of this Agreement, and a certified copy thereof will be delivered to Senior Lender on the date hereof. Any instrument evidencing any of the Subordinate Indebtedness, or any portion thereof, which is hereafter executed by Borrower, will, on the date thereof, be inscribed with the aforesaid legend and a copy thereof will be delivered to Senior Lender on the date of its execution or within five (5) days thereafter.
Instrument Legend. Any agreement or instrument evidencing the Subordinated Debt, or any portion thereof, which has been or is hereafter executed by the Company will, on the date hereof or the date of execution, be inscribed with a legend conspicuously indicating that payment thereof is subordinated to the claims of the Senior Lender pursuant to the terms of this Agreement. A copy of any such agreement or instrument will be delivered to the Senior Lender within five (5) Business Days after the date hereof or the date of its execution, and the original thereof will be immediately delivered to the Senior Lender upon request therefor by the Senior Lender after the occurrence of an Event of Default.
Instrument Legend. The Subordinated Creditor Note, and any renewals or replacements thereof, and all promissory notes or other securities for which it is exchanged or into which it is converted will, on the date hereof or prior to the issuance thereof, be inscribed with a legend conspicuously stating that payment thereof is subordinate and junior in right of payment to the Sanwa Debt pursuant to the terms of this Agreement. The Subordinated Creditor shall deliver to Sanwa a photocopy of the original Subordinated Note marked with such legend.
Instrument Legend. Any certificate, agreement or instrument evidencing any of the Subordinated Obligations shall be inscribed with a legend or shall otherwise conspicuously indicate that the obligations evidenced thereby are subordinate and junior in right of payment to the Senior Obligations in the manner and to the extent set forth in this Agreement.
Instrument Legend. Within 10 Business Days after the execution of this Agreement, the Subordinated Creditor shall cause any instrument evidencing all or any part of the Subordinated Obligations of a Debtor to the Subordinated Creditor to be inscribed with a legend conspicuously indicating that payment thereof is subordinated to the claims of the Lender Parties pursuant to the terms of this Agreement and to cause each such instrument to be delivered to the Collateral Agent upon request therefor upon and after an Event of Default, if such original instrument is necessary in order to enable the Lender Parties to take any action permitted hereunder, including, without limitation, the filing of proofs of claim on behalf of the Subordinated Creditor.
Instrument Legend. Any instrument evidencing any of the Subordinated Debt (including, without limitation, the Subordinated Debt Documents and any guarantees thereof), or any portion thereof, will, on the date hereof or promptly hereafter, be conspicuously inscribed the following legend: THIS [NOTE][AGREEMENT] AND THE INDEBTEDNESS EVIDENCED HEREBY ARE SUBORDINATE IN THE MANNER AND TO THE EXTENT SET FORTH IN THAT CERTAIN SUBORDINATION AGREEMENT DATED AS OF [__________], 20___ AMONG [THE PAYEE] AND JPMORGAN CHASE BANK, N.A., AS ADMINISTRATIVE AGENT IN CONNECTION WITH THE THIRD AMENDED AND RESTATED CREDIT AGREEMENT DATED AS OF [_], 2020 AMONG UGI ENERGY SERVICES, LLC, THE SENIOR LENDERS FROM TIME TO TIME PARTY THERETO AND JPMORGAN CHASE BANK, N.A., AS ADMINISTRATIVE AGENT, TO THE SENIOR OBLIGATIONS (AS SUCH TERM IS DEFINED IN SAID SUBORDINATION AGREEMENT) (INCLUDING INTEREST) OWED BY UGI ENERGY SERVICES, LLC OR ANY SUBSIDIARY THEREOF TO THE HOLDERS OF SENIOR OBLIGATIONS (AS SUCH TERM IS DEFINED IN SAID SUBORDINATION AGREEMENT), AND EACH [HOLDER OF THIS NOTE][LENDER HEREUNDER] BY ITS [ACCEPTANCE][EXECUTION] HEREOF SHALL BE BOUND BY THE PROVISIONS OF SUCH SUBORDINATION AGREEMENT, AND ANY AMENDMENTS TO THIS PARAGRAPH SHALL BE NULL AND VOID AND OF NO EFFECT WITHOUT THE PRIOR WRITTEN CONSENT OF SUCH ADMINISTRATIVE AGENT. A copy of each such instrument, as so legended, will be delivered to the Administrative Agent on the date hereof. Any instrument evidencing any of the Subordinated Debt, or any portion thereof, which is hereafter executed by any UGIES Party, will, on the date thereof, be inscribed with the aforesaid legend and a copy thereof will be delivered to the Administrative Agent on the date of its execution or within five (5) Business Days thereafter.
Instrument Legend. Any agreement or instrument evidencing the Subordinated Debt and/or the security interest held by the Subordinated Lenders, or any portion thereof, which has been or is hereafter executed by the Company will, on the date hereof or the date of execution, be inscribed with a legend conspicuously indicating that payment thereof or the security interest held by the Subordinated Lenders, as the case may be, is subordinated to the claims or the security interests of the Senior Lender pursuant to the terms of this Agreement. A copy of any such agreement or instrument will be delivered to the Senior Lender within five (5) Business Days after the date hereof or the date of its execution, and the original thereof will be immediately delivered to the Senior Lender upon request therefor by the Senior Lender after the occurrence of an Event of Default.
Instrument Legend. Any instrument evidencing any of the Junior Debt (including, without limitation, the Junior Notes), or any portion thereof, will, on the date hereof, have affixed to it a document conspicuously indicating that payment thereof is subordinated to the claims of the Senior Creditor pursuant to the terms of this Agreement: “THIS INSTRUMENT IS SUBJECT TO THE TERMS OF A SUBORDINATION AGREEMENT DATED AS OF JULY 13, 2007 BY AND BETWEEN THE HOLDER HEREOF AND CAMOFI MASTER LDC AND CAMHZN MASTER LDC.” Any instruments evidencing any of the Junior Debt, or any portion thereof, which is hereafter executed by the Borrower, will, on the date thereof, be inscribed with the aforesaid legend, and copies of such instrument will be delivered to the Senior Lender on the date of its execution or within five (5) business days thereafter and the original of such instrument will be delivered to the Senior Lender upon request therefor to the Senior Lender after the occurrence of a Senior Event of Default.
