Instrument Software Clause Samples

The Instrument Software clause defines the terms governing the use, licensing, and ownership of software that is embedded in or provided with a physical instrument. Typically, this clause clarifies that the purchaser receives a limited license to use the software solely in connection with the instrument, and may restrict actions such as copying, modifying, or reverse engineering the software. By establishing these boundaries, the clause protects the intellectual property rights of the software provider and ensures that the software is used appropriately, thereby reducing the risk of unauthorized use or distribution.
Instrument Software. As used herein, “Instrument Software” means the programs to interact with the computer hardware to control and operate the Instrument, consisting of but not limited to (i) instrument control software (ii) service software, and (iii) data management software.
Instrument Software. TJA hereby grants to OSA, Inc. a nontransferable (except to the extent expressly otherwise provided herein), nonexclusive right and license to use the Instrument Software, subject to the following: 4.2.1 Use of the Instrument Software by OSA, Inc. shall be solely in connection with the ordinary operation of a Specialized Unit, as specified in the applicable Operator's Manual . 4.2.2 OSA, Inc. shall have the right to grant to any Customer (and shall in any event not grant rights greater than) a nonexclusive, nontransferable sublicense (expressly excluding the right by the Customer to further sublicense) for the sole purpose of allowing the Customer to use the Instrument Software in connection with the ordinary operation of the Specialized Unit, as specified in the Operator's Manual. 4.2.3 The license to OSA, Inc., and any Customer's sublicense, shall encompass only object code. 4.2.4 OSA, Inc. is prohibited from, and any Customer's sublicense shall prohibit the Customer from, (a) copying, accessing or downloading the Instrument Software, other than in connection with the ordinary operation of the Specialized Unit in accordance with the Operator's Manual; (b) decompiling, disassembling or reverse engineering the Instrument Software; (c) removing or obscuring any notice of copyright, patent, trademark, trade secret or restricted or limited rights; or (d) removing or obscuring any export restriction or similar notice contained on the Instrument Software.
Instrument Software. If requested, Gemini will provide a copy of the Instrument Software within a feasible time following the request.
Instrument Software. In addition to the physical operation of the instrument as detailed above the instrument software is to enable the analysts to programme a wide range of analytical methods and to handle all calibration and quantitation procedures using linear, non- linear and additions calibration models. The software must allow external standard, internal standards and isotope dilution and allow switching between cell modes within a method. Data should be archived securely and the software must also allow the reprocessing of data under different standardisation conditions.

  • Software and Documentation Licensee may make as many copies of the Software necessary for it to use the Software as licensed. Each copy of the Software made by Licensee must contain the same copyright and other notices that appear on the original copy. Licensee will not modify the Documentation. Documentation may: (a) only be used to support Licensee’s use of the Software; (b) not be republished or redistributed to any unauthorized third party; and (c) not be distributed or used to conduct training for which Licensee, or any other party, receives a fee. Licensee will not copy any system schema reference document related to the Software.

  • Software The Software is licensed to you subject to any terms and conditions presented when you downloaded it from a source authorized by NCR Voyix, as well as those contained in this Agreement. If there is a conflict, this Agreement will control. You are licensed to use the Software only with the Service and with Hardware purchased or subscribed from NCR Voyix or its Resellers. Your license to any Software will end when your subscription to the Service ends. The Software is copyrighted and licensed, not sold, and is NCR Voyix’s confidential and unpublished information. You will retain any copyright notices and proprietary legends on all copies of the Software and the media on which it is delivered. Any attempt to transfer the Software is void and will automatically cause your license to end.
