Common use of Instruments of Assumption Clause in Contracts

Instruments of Assumption. Seller shall have received duly executed instruments of assumption of the Assumed Obligations, duly executed by an authorized officer of Buyer, in form and substance reasonably satisfactory to Seller and its counsel, as is necessary or desirable to effect the assumption by Buyer of the Assumed Contracts as contemplated by this Agreement.

Instruments of Assumption. Seller The Buyer shall have received duly executed and delivered such other instruments of assumption of the Assumed Obligationsliabilities as may be reasonably requested by Seller, duly executed by an authorized officer of Buyer, each in a form and substance reasonably satisfactory to Seller and its legal counsel, as is necessary or desirable to effect the assumption by Buyer of the Assumed Contracts as contemplated by this Agreement.; and

Instruments of Assumption. Seller Buyer shall have received duly executed instruments of assumption of the Assumed Obligations, duly executed by an authorized officer of Buyerand de livered to Seller such instruments, in form and substance reasonably satisfactory to Seller and its counselcounsel to Seller, as is necessary or desirable pursuant to effect the assumption by which Buyer of assumes the Assumed Contracts Liabilities as contemplated by this Agreementset forth in Section 2.5 hereof.
