Common use of Insurance and Banking Facilities Clause in Contracts

Insurance and Banking Facilities. of the INT'X.xxx Disclosure Schedule contains a complete and correct list of (i) all contracts of insurance or indemnity of INT'X.xxx in force at the Prior Agreement Date (including name of insurer or indemnitor, agent, annual premium, coverage, deductible amounts and expiration date) and (ii) the names and locations of all banks in which INT'X.xxx has accounts or safe deposit boxes, the designation of each such account and safe deposit box, and the names of all persons authorized to draw on or have access to each such account and safe deposit box. All premiums and other payments due from INT'X.xxx with respect to any such contracts of insurance or indemnity have been paid, and neither INT'X.xxx nor any Material INT'X.xxx Subsidiary knows of any fact, act, or failure to act which has or could reasonably be expected to cause any such contract to be canceled or terminated. All known claims for insurance or indemnity have been presented or are described in Section 3.16 of the INT'X.xxx Disclosure Schedule.
