Common use of Integrated Agreement Clause in Contracts

Integrated Agreement. The Grant Notice, this Option Agreement and the Plan, together with any employment, service or other agreement between the Participant and a Participating Company referring to the Option, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Grant Notice, this Option This Agreement and the Plan, together with any employment, service or other agreement between the Participant and a Participating Company referring to the Option, shall constitute constitutes the entire understanding and agreement of the Participant Optionee and the Participating Company Group with respect to the subject matter contained herein or therein and supersede supersedes any prior understanding or agreement between the parties, whether or not in writing, including, but not limited to, any prior grant by the Company or any of its officers or authorized representatives to the Optionee of an option or warrant to purchase Common Stock. There are no agreements, understandings, restrictions, representations, or warranties among the Participant Optionee and the Participating Company Group with respect to such subject matterother than those as set forth or provided for herein. To the extent contemplated herein or thereinherein, the provisions of the Grant Notice, the Option this Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan, together with any employment, service or other agreement between the Participant and a Participating the Company expressly referring to the Option, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among between the Participant and the Participating Company Group with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan, together with the Operating Agreement and any employment, service or other agreement between with the Participant and a Participating Company referring to the Option, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement Agreement, the Plan and the Plan Operating Agreement shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan, together with any employment, service or other agreement between the Participant and a Participating the Company or any Affiliate referring to the Option, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group and its Affiliates with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group and its Affiliates with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan, together with the Retention and Severance Plan and any employment, service or other agreement between the Participant and a Participating Company referring to the Option, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement Agreement, and the PlanApplicable Plan Provisions, together with any employment, service or other agreement between the Participant and a Participating Company referring to the Option, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group Companies with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group Companies with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement Agreement, and the Applicable Plan Provisions shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the PlanApplicable Plan Provisions, together with any employment, service or other agreement between the Participant and a Participating Company referring to the Option, shall constitute the entire understanding and agreement of the Participant and the all Participating Company Group Companies with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and all the Participating Company Group Companies with respect to such subject matter. To the extent contemplated herein or thereinherein, the provisions of the Grant Notice, the Option Agreement and the Applicable Plan Provisions shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, Notice and this Option Agreement and the Plan, together with any other employment, severance, service or other agreement between the Participant and a Participating Company referring to the Option, if any, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersede supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group with respect to such subject mattermatter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement Notice and the Plan Agreement shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan, together with any employment, service or other agreement between the Participant and a Participating the Company or any Affiliate referring to the Option, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group and its Affiliates with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group and its Affiliates with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan, together with any employment, service or other agreement between with the Participant and a Participating Company referring to the Optionthis Agreement, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option this Agreement and the Plan shall survive any exercise of the Option Purchase Right and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan, Plan together with any employment, service or other agreement between with the Participant Optionee and a Participating Company referring to the Option, shall Option will constitute the entire understanding and agreement of the Participant Optionee and the Participating Company Group with respect to the subject matter contained herein or therein and supersede supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Participant Optionee and the Participating Company Group with respect to such subject mattermatter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Grant Notice, Notice and the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan, Plan together with any employment, service or other related agreement between with the Participant Optionee and a Participating Company referring to the Option, Option shall constitute the entire understanding and agreement of the Participant Optionee and the Participating Company Group with respect to the subject matter contained herein or therein and supersede supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Participant Optionee and the Participating Company Group with respect to such subject mattermatter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Grant Notice, Notice and the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Grant Notice, this Option Agreement and the Plan, together with any employment, service or other agreement between the Participant Superseding Agreement and a Participating Company referring to the Optionany change of control agreement, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.
