Common use of Integration of Agreement Clause in Contracts

Integration of Agreement. (a) This Agreement and the exhibits and the other agreements contemplated by this Agreement, including the Confidentiality Agreement, constitute the entire agreement between the Parties relating to the subject matter hereof and supersede all prior agreements, oral and written, between the Parties with respect to the subject matter hereof, including that certain Confidential Non-binding Indicative Term Sheet between the Parties dated September 5, 2019. (b) Neither this Agreement, nor any provision hereof, may be changed, waived, discharged, supplemented, or terminated orally, but only by an agreement in writing signed by the Party against which the enforcement of such change, waiver, discharge or termination is sought. The failure or delay of any Party at any time or times to require performance of any provision of this Agreement shall in no manner affect its right to enforce that provision. No single or partial waiver by any Party of any condition of this Agreement, or the breach of any term of this Agreement or the inaccuracy or warranty of this Agreement, whether by conduct or otherwise, in any one or more instances shall be construed or deemed to be a further or continuing waiver of any such condition, breach or inaccuracy or a waiver of any other condition, breach or inaccuracy.

Integration of Agreement. Integration of Agreement. (a) This Agreement and Agreement, the exhibits Schedules, the Exhibits and the other agreements contemplated by this Agreement, including the Confidentiality Agreement, Purchase Documents constitute the entire agreement between the Parties relating to the subject matter hereof and supersede all prior agreements, oral and written, between the Parties with respect to the subject matter hereof, including that those certain Confidential Non-binding Indicative Term Sheet letters between Purchaser and Seller reflecting Purchaser’s indication of interest in purchasing the Parties dated September 5, 2019Business.
