Common use of Integration Clause in Contracts

Integration. This Agreement contains the entire understanding of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect Parties relating to the subject matter hereof of this Agreement. No other than those expressly set forth herein. This Agreementunderstanding, includingoral or otherwise, without limitation, regarding the Plan, supersedes all prior agreements and understandings between subject matter of this Agreement shall be deemed to exist or to bind the parties with respect to its subject matterParties.

Integration. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings Parties with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, and supersedes all prior and contemporaneous agreements and understandings between the parties with respect thereto. The Parties acknowledge and agree that there are no agreements or representations relating to its the subject mattermatter of this Agreement, either written or oral, express or implied, that are not set forth in this Agreement.

Integration. This Agreement contains the entire understanding of agreement between the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect pertaining to the subject matter hereof of this Agreement. With respect to that subject matter, there are no promises, agreements, conditions, inducements, warranties, or understandings, written or oral, expressed, or implied, between the parties, other than those expressly as set forth herein. This or referenced in this Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

Integration. This Agreement contains includes the entire understanding agreement of the parties with respect to its subject matterand supersedes any prior discussions or agreements regarding the same subject. There are no restrictionsunderstandings, agreements, promises, or representations, warrantiesoral or written, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matternot specified herein regarding this contract.

Integration. This Agreement contains the entire understanding constitutes a complete and exclusive statement of the parties understanding between the Parties with respect to its subject matter. There are no restrictionsThis Agreement supersedes any and all other prior communications between the Parties, whether written or oral. Any prior agreements, promises, representations, warranties, covenants negotiations or undertakings with respect representations related to the subject matter hereof other than those not expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements in this Agreement are of no force and understandings between the parties with respect to its subject mattereffect.

This Agreement contains sets forth the entire agreement and understanding between the parties as to the subject matter of this Agreement and merges all prior discussions between them, and none of the parties with respect to its subject matter. This Agreement, including, without limitation, the Plan, Agreement supersedes all prior agreements and understandings between the parties with respect to its subject matter, including the Original Agreement.

Integration. This Agreement contains constitutes the entire understanding of agreement between the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings Parties with respect to the Reinsured Policies and there are no understandings between the Parties other than as expressed in this Agreement. This Agreement supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, of the Parties and there are no general or specific warranties, representations or other agreements by or among the Parties in connection with the entering into of this Agreement or the subject matter hereof other than those expressly except as specifically set forth or contemplated herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

Integration. This Agreement contains constitutes the entire understanding of agreement among the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect Parties hereto pertaining to the subject matter hereof and thereof and supersede all prior agreements, understandings, negotiations and discussions, whether oral or written, of the Parties. There are no warranties, representations or other than those expressly agreements among the Parties in connection with the subject matter hereof except as set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matterspecifically herein or contemplated hereby.

Integration. This Agreement Agreement, together with all documents referenced herein, contains the entire understanding of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth hereinand thereof. This Agreement, including, without limitation, the Plan, Agreement supersedes all prior agreements and understandings between the parties with respect to its this subject matter. Nothing in this Agreement, express or implied, is intended to or shall confer upon any Person other than the parties and their respective successors and permitted assigns any legal or equitable right, benefit or remedy of any nature under or by reason of this Agreement.

There are no warranties, representations or other than those agreements between the Parties in connection with the subject matter hereof except as specifically and expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

Integration. This Agreement contains the entire understanding of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, Parties and supersedes all prior agreements and understandings between the parties with respect Parties relating to its the subject mattermatter hereof. There are no promises, commitments, obligations, duties or rights of the Parties except as set forth in this Agreement.

Integration. This Agreement contains (including its Exhibits) constitutes the entire understanding of and only agreement between the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect relating to the subject matter hereof hereof, and all other than those expressly set forth herein. This Agreementprior negotiations, includingrepresentations, without limitationagreements, the Plan, supersedes all prior agreements and understandings between are superseded hereby. No agreements altering or supplementing the parties with respect to its subject matterterms hereof may be made except by means of a written document signed by the duly authorized representatives of the parties.

This Agreement contains constitutes the entire understanding among the parties pertaining to the subject matter hereof and supersedes all prior understandings and representations of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth hereinhereof. This AgreementAny representation, includingpromise, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matteror condition not incorporated into this Agreement shall not be binding on any party.

Integration. This Agreement Agreement, and the Plan, contains the entire understanding of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

This Agreementconstruction of the Project, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matterwhether written or oral.

Integration. This Agreement contains and the Plan contain the entire understanding of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth hereinherein and in the Plan. This Agreement, including, without limitation, Agreement and the Plan, supersedes Plan supersede all prior agreements and understandings between the parties with respect to its subject matter. 12.

Integration. This Agreement Agreement, together with the Contribution Agreement, contains the entire understanding of the parties hereto and thereto, as applicable, with respect to its the collective subject mattermatter of such agreements. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof and thereof other than those expressly set forth hereinor referred to herein and thereof. This Agreement, including, without limitation, the Plan, supersedes Agreement and such other agreements supersede all prior agreements and understandings between the parties with respect to its such subject matter.

Integration. This Agreement contains and the Plan contain the entire understanding of the parties with respect to its the subject mattermatter hereof. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth hereinherein and in the Plan. This Agreement, including, without limitation, Agreement and the Plan, supersedes Plan supersede all prior agreements and understandings between the parties with respect to its the subject mattermatter hereof.

Integration. This Agreement contains is the entire understanding and sole agreement of the parties hereto with respect to its subject matter. There are have been no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to promises outside of the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements Terms and understandings between the parties with respect to its subject matterConditions.

Integration. This Agreement contains sets forth the entire understanding and agreement of the parties with respect to its subject matter. There the Property and there are no agreements, understandings, restrictions, agreements, promises, representations, warranties, covenants representations or undertakings with respect to warranties among the subject matter hereof parties other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

Integration. This Agreement contains the entire understanding of the parties with respect to its subject matter. There parties, and there are no restrictions, agreements, promises, representations, warranties, covenants promises or undertakings with respect to the subject matter hereof other than those expressly set forth contained herein. This Agreement, including, without limitation, the Plan, Agreement supersedes and cancels all prior previous agreements and understandings between the parties with respect to its subject matterhereto.

Integration. This Except as expressly provided herein, this Agreement contains constitutes the entire understanding of agreement between the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings Parties with respect to the subject matter matters hereof other than those expressly set forth hereinand supersedes any prior agreement, understanding, negotiation or representation regarding the subject matters covered by this Agreement. This Notwithstanding the foregoing, this Agreement should be read and interpreted in conjunction with the 2013 SUP and the Settlement Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

Integration. This The Agreement contains represents the entire understanding of and agreement among the parties with respect to its subject matter. There are no restrictionsParties and supersedes all prior proposals, negotiations, agreements, promises, representations, warranties, covenants or undertakings with respect and understandings related to the subject matter hereof other than those expressly of the Agreement. The Parties acknowledge, stipulate and agree that no covenant, obligation, condition, representation, warranty, inducement, negotiation or undertaking concerning any part or all of the subject matter of the Agreement has been made or relied upon except as set forth expressly herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

Integration. This Agreement contains sets forth the entire agreement and ----------- understanding of between the parties with respect as to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements specific matters agreed to herein and understandings between the parties hereto acknowledge that no oral or other agreements, understandings, representations or warranties exist with respect to its subject matterthis Agreement or with respect to the obligations of the parties hereto under this Agreement, except those specifically set forth in this Agreement.

Integration. This Agreement contains the entire understanding of agreement between the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings hereto with respect to the subject matter hereof other than those matters set forth herein and is intended to be an integration of all prior agreements, conditions or undertakings between the parties hereto with respect to such matters. Except as expressly set forth herein. This Agreementin this Agreement and in the other Loan Documents, includingthere are no promises, without limitationagreements, the Planconditions, supersedes all prior agreements and understandings undertakings, warranties or representations, oral or written, express or implied, between the parties hereto with respect to its subject matterthe matters set forth herein.

Integration. This Agreement contains constitutes the entire understanding agreement of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, and supersedes all prior previous agreements or proposals, oral or written, and understandings all negotiations, conversations or discussions heretofore had between the parties with respect related to its the subject mattermatter of this Agreement, but excluding any confidentiality agreements between the parties or their Affiliates which shall remain in full force and effect.

Integration. This Agreement contains contain the entire understanding of the parties with respect to its the subject mattermatter hereof. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, Agreement supersedes all prior agreements and understandings between the parties with respect to its such subject matter.

Integration. This Agreement contains and Attachments 1 and 2 constitute the entire understanding agreement of the parties with respect to its subject matter. There are have been no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth hereinpromises made outside of this Agreement. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties Agreement shall take precedence over any other document that may be in conflict with respect to its subject matterit.

Integration. This Agreement contains comprises the entire understanding of the parties with respect to its hereto on the subject matter. There are no restrictionsmatter herein contained, and supersedes and merges all prior and contemporaneous agreements, promises, representations, warranties, covenants or undertakings with respect understandings and discussions between the parties relating to the subject matter hereof of this Agreement. In the event of a conflict between the Proposal and any other than those expressly set forth hereinAgreement documents, the terms of the Proposal shall control. This Agreement, including, without limitationAgreement comprises this Standard Terms and Conditions document, the PlanProposal, supersedes all prior agreements and understandings between any following documents as indicated and signed by the parties with respect to its subject matterin the Proposal.

Integration. This Agreement contains the entire understanding of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, Agreement supersedes all prior agreements and understandings between the parties with respect to its the subject mattermatter of this Agreement.

Integration. This Agreement contains sets forth the entire understanding of agreement between the parties Parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings hereto with respect to the subject matter hereof other than those expressly set forth herein. This Agreementmatters referred to herein and supersede all prior or contemporaneous negotiations, promises, covenants, agreements or representations of every nature whatsoever with respect thereto, all of which have become merged and finally integrated therein (including, without limitation, the PlanConfirmation Letter between Seller and Risk Participant). This Agreement cannot be amended, supersedes all prior agreements and understandings between the modified or supplemented except by an instrument in writing executed by both parties with respect to its subject matterhereto.

Integration. This Agreement contains comprises the entire understanding of the parties with respect to its hereto on the subject matter. There are no restrictionsmatter herein contained, and supersedes and merges all prior and contemporaneous agreements, promisesunderstandings, representations, warranties, covenants or undertakings with respect and discussions between the parties relating to the subject matter hereof of this Agreement. In the event of a conflict between the Proposal and any other than those expressly set forth hereinAgreement documents, the terms of the Proposal shall control. This Agreement, including, without limitation, Agreement comprises this Basic Terms and Conditions document and the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matterProposal.

Integration. This Agreement contains the entire understanding agreement of the parties with respect to its the subject matter. There are no restrictions, agreements, promisesmatter of this Agreement and supersedes all previous communications, representations, warrantiesunderstandings, covenants and agreements, either oral or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreementwritten, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its said subject matter. No terms, provisions, or conditions of any purchase order, acknowledgement, or other business form that either party may use in connection with the transactions contemplated by this Agreement will have any effect on the rights, duties, or obligations of the parties under, or otherwise modify, this Agreement, regardless of any failure of a receiving party to object to these terms, provisions, or conditions.

Integration. This Agreement contains the entire understanding of agreement between the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, and supersedes all prior agreements agreements, understandings, offers and understandings between the parties negotiations, oral or written, with respect to its subject matterthereto and no extrinsic evidence whatsoever may be introduced in any judicial or arbitration proceeding, if any, involving this Agreement.

Integration. This Agreement contains the entire understanding of supersedes all prior agreements and understandings among the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings this Agreement with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, and contains the Plan, supersedes all prior agreements and understandings between full understanding of the parties hereto with respect to its the subject mattermatter hereof; and there are no representations, warranties, agreements or undertakings other than expressly contained herein or therein.

Integration. This Agreement contains represents the entire understanding complete agreement of the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings hereto with respect to the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and there are no understandings between or representations by any of the parties with respect to its the subject mattermatter hereof not reflected herein.

Integration. This Agreement contains the entire understanding of the parties Parties with respect to its subject matterthe matters addressed herein. There are no restrictionsAll prior and contemporaneous negotiations, agreements, restrictions, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof undertakings, other than those expressly set forth or referred to herein. This Agreement, including, without limitation, the Plan, shall be deemed merged into this Agreement and this Agreement supersedes all prior agreements and understandings between the parties with respect to its the subject mattermatter of this Agreement and the transactions contemplated thereby.

Integration. This Agreement contains the entire understanding of the parties with respect to its the subject mattermatter hereof. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to the subject matter hereof other than those expressly set forth or referred to herein. This Agreement, including, without limitation, the Plan, Agreement supersedes all prior agreements and understandings between the parties with respect to its subject mattermatter including the Original Agreement.

This Agreement represents, contains and constitutes the entire understanding of and agreement between the parties with respect hereto relating to its subject matter and supersedes all previous discussions, negotiations, representations, agreements or commitments, whether written or oral, relating to its subject matter. There are no restrictionsExcept as expressly stated herein, agreements, promises, representations, warranties, covenants this Agreement does not in any way alter or undertakings with respect to affect the subject matter hereof rights and obligations of any party hereto under any other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matteragreement.

Integration. This Agreement contains the entire understanding of agreement between the parties with respect to its subject matter. There are no restrictions, agreements, promises, representations, warranties, covenants or undertakings with respect to regarding the subject matter hereof other than those expressly set forth herein. This Agreement, including, without limitation, the Plan, and supersedes all prior agreements and understandings between the parties with respect undertakings, whether oral or written. No promises, covenants, or representations of any character or nature other than those expressly stated herein have been made to its subject matterinduce either party to enter into this Agreement.

Integration. This Agreement contains represents the entire understanding agreement of the parties with respect to its the subject matter. There are no restrictionsmatter herein contained and supersedes all prior correspondence, agreementsconversations, promises, representations, warranties, covenants or undertakings negotiations and understandings with respect to the subject matter hereof those subjects, except as to other than those expressly set forth hereinwritten agreements referred to in this Agreement. This Agreement, including, without limitation, the Plan, supersedes all prior agreements No change or modification to this Agreement shall be valid unless in writing and understandings between signed by the parties with respect to its subject matterthis Agreement.

There concerning all matters and supersedes any prior discussions, agreements or understandings, and there are no restrictions, agreements, promises, representations, warranties, covenants representations or undertakings with respect to agreements between the subject matter hereof Parties hereto other than those expressly as set forth herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.

This Agreement contains the entire understanding of between the parties with respect to its and supersedes any prior understandings and agreements between them concerning the within subject matter. There are no restrictionsrepresentations, agreements, promisesarrangements or understandings, representationsoral or written, warranties, covenants or undertakings with respect between the parties hereto relating to the subject matter hereof other than those expressly set forth of this Agreement which are not described herein. This Agreement, including, without limitation, the Plan, supersedes all prior agreements and understandings between the parties with respect to its subject matter.
