Common use of Intellectual Property Assignment Clause in Contracts

Intellectual Property Assignment. Any and all documents necessary to properly record the assignment to the Buyer of all of the Sellers’ right, title and interest in and to the Product Intellectual Property, substantially in the form of Exhibit B (the “IP Assignments”);

Intellectual Property Assignment. Any and all documents necessary to properly record the assignment to the Buyer of all of the Sellers’ Seller’s right, title and interest in and to the Product Seller Intellectual Property, substantially in the form of Exhibit B (the “IP Assignments”);

Any and all documents necessary to properly record the assignment to the Buyer Purchasers of all of the Sellers’ Company’s right, title and interest in and to the Product Intellectual PropertyCompany IP Assets, substantially in including: (i) a trademark assignment for all of the form of Exhibit B Trademarks (the “IP AssignmentsTrademark Assignment”);

Any and all documents necessary to properly record the assignment to the Buyer Purchaser of all of the Sellers’ right, title and interest in and to the Product Seller Intellectual Property, including the intellectual property assignment (the “Intellectual Property Assignment”), substantially in the form of Exhibit B (the “IP Assignments”)3.2(b) attached hereto;

Any and all documents necessary to properly assign and record the assignment to the Buyer of Purchasing Parties all of the Sellers’ Selling Parties' right, title and interest in and to all of the Product Seller Intellectual Property, including an Intellectual Property Assignment Agreement (the "IP Assignment") substantially in the form of Exhibit B (D hereto, for all of the “IP Assignments”Seller Intellectual Property, including the Seller Intellectual Property listed on Schedule 4.12(a);

Any and all documents necessary to properly record the assignment to the Buyer Purchaser of all of the Sellers’ Seller’s right, title and interest in and to the Product Seller Intellectual PropertyProperty Rights, including the intellectual property assignment (the “Intellectual Property Assignment”) substantially in the form of Exhibit B (the “IP Assignments”)3.2(b) attached hereto;

Intellectual Property Assignment. Any and all documents necessary to properly record the assignment to the Buyer Purchaser of all of the Sellers’ Seller's right, title and interest in and to the Product Seller Intellectual Property, substantially including trademarks, patents and copyrights, in the a form of Exhibit B (the “IP Assignments”)mutually satisfactory to Seller and Purchaser;
