Intercompany Trust Agreement. (i) The Intercompany Trust Agreement shall have been duly executed by the parties thereto in form and substance satisfactory to the Lender, and shall be in full force and effect and the Collateral Agent (or its counsel) shall have received from the Company a counterpart of such Intercompany Trust Agreement signed on behalf of such party.
