During any Deferral Period, the Company and the Guarantor shall not declare or pay dividends, or make any other distributions on (including distributions in the form of interest on capital under Brazilian law), or redeem, purchase, acquire or make a liquidation payment with respect to, equity securities of the Company or Vale, as applicable, except for distribution of amounts required to be distributed to shareholders under applicable law and Vale’s bylaws.
