Interim Basis Only. Each Party acknowledges that the purpose of this Agreement is to provide Services to the other Party on an interim basis, until such Party can perform the Services for itself. Accordingly, at all times from and after the Effective Date, each of Seller and Purchaser shall use its respective commercially reasonable efforts to make or obtain any approvals, permits or licenses, implement any computer systems and take, or cause to be taken, any and all other actions necessary or advisable for it to provide the Services for itself as soon as reasonably practicable.
Interim Basis Only. Each Party acknowledges that the purpose of this Agreement is for ETP to provide USAC and its Affiliates with Services on an interim basis. Accordingly, at all times from and after the Effective Date, the Parties shall use commercially reasonable efforts to obtain any approvals, permits or licenses, implement any computer systems and take, or cause to be taken, any and all other actions necessary or advisable for USAC or its designated Affiliate to provide such Services, as applicable, for itself upon the date that Services are no longer provided hereunder.
Interim Basis Only. The Parties acknowledge that the purpose of this Agreement is to provide Transition Services to a Service Recipient on an interim basis until such Service Recipient can perform such services for itself or obtain such services from a third party. Accordingly, at all times from and after the Effective Date, such Service Recipient shall use commercially reasonable efforts to make or obtain any approvals, permits or licenses, implement any computer systems and take, or cause to be taken, any and all other actions necessary or advisable for it to migrate and provide such services for itself, or obtain such services from a third party, as soon as reasonably practicable after the Effective Date.
Interim Basis Only. The Parties acknowledge that the Services are intended to be provided to Service Recipient on an interim basis until the earlier of the time that Service Recipient can perform such Services for itself or obtain such Services from a third party, and that neither Service Provider shall have any obligation to provide any Services following the expiration or termination of this Agreement.

Accordingly, at all times from and after the Distribution Date, each of Honeywell and AdvanSix shall, subject to the terms and conditions of this Agreement, use its respective commercially reasonable efforts to make or obtain any approvals, permits or licenses, implement any computer systems and take, or cause to be taken, any and all other actions necessary or advisable for it to provide the Services for itself as soon as practicable after the date hereof and terminate this Agreement with respect to each Service prior to the Term for such Service set forth herein.

Accordingly, at all times from and after the Distribution Date, each Party shall use its respective commercially reasonable efforts to make or obtain any approvals, permits or licenses, implement any computer systems and take, or cause to be taken, any and all other actions necessary or advisable for the Service Recipients to provide the Transition Services for themselves as soon as practicable after the date of this Agreement.
Interim Basis Only. DT Midstream acknowledges that the purpose of this Agreement is for DT Midstream to receive, and DTE Energy to provide, the Services on an interim basis and that the Services provided hereunder are transitional in nature. During the term of this Agreement, DT Midstream agrees to work diligently and expeditiously to establish its own logistics, infrastructure and systems to enable a transition to its own internal organization or other third-party providers of the Services and agrees to use its commercially reasonable efforts to reduce or eliminate its dependency on the DTE Energy’s provision of the Services as soon as is reasonably practicable.
Interim Basis Only. Each Party acknowledges that the purpose of this Agreement is for such Party to receive, and the other Party to provide, the Services on an interim basis and that the Services provided hereunder are transitional in nature.

Accordingly, at all times from and after the Effective Date, Parent shall use commercially reasonable efforts to obtain any approvals, permits or licenses, implement any computer systems and take, or cause to be taken, any and all other actions necessary or advisable for Parent or its designated Affiliate to provide such Services, as applicable, for itself upon the date that Services are no longer provided hereunder.
Interim Basis Only. Each Party acknowledges that the purpose of this Agreement is to provide the Services on an interim basis. Accordingly, at all times from and after the Closing, the Parties shall use their commercially reasonable efforts (which, for the avoidance of doubt, shall not require that any Party expend any material sums of money or grant by financial or other accommodation) to (a) maintain, make or obtain any approvals, permits or licenses, implement any systems and (b) take, or cause to be taken, any and all other actions necessary or advisable for the Parties to provide (or secure from a third party) the Services as contemplated by this Agreement. 130
